Protected under Minnesota Uniform Trade Secrets Act (Minn. Stat. Section 325C.01 et seq.).

General Provisions

Governing Law: Minnesota. Venue: Hennepin County (Minneapolis), Minnesota.
Jury Waiver. EACH PARTY WAIVES TRIAL BY JURY.
Electronic Signatures. Valid per Minn. Stat. Section 325L.01 et seq.

Minnesota-Specific: Non-Compete (Minn. Stat. Section 181.988)

Minnesota bans most non-compete agreements:
- Non-competes void and unenforceable for most employees (effective July 1, 2023)
- Limited exceptions for sale of business, dissolution of partnership
- Non-solicitation and confidentiality agreements may still be enforceable

Minnesota-Specific: Invention Assignment (Minn. Stat. Section 181.78)

Cannot require assignment of inventions developed on employee's own time without employer resources and unrelated to employer's business.

MINNESOTA NOTICE: Non-compete agreements are generally void in Minnesota per Minn. Stat. Section 181.988. This Agreement does not contain non-compete provisions.
