Massachusetts-Specific: Non-Compete (Massachusetts Noncompetition Agreement Act - M.G.L. c. 149 Section 24L)

Massachusetts has strict non-compete requirements:
- Maximum duration of 12 months (or 24 months for breach of fiduciary duty)
- Garden leave or other mutually-agreed consideration required
- Cannot apply to certain employees (hourly, non-exempt, students, under 18, laid off/terminated without cause)
- 10 business day review period required
- Must be in writing and signed
- Must inform employee of right to counsel

Massachusetts-Specific: Invention Assignment (M.G.L. c. 149 Section 52A)

Cannot require assignment of inventions developed entirely on employee's own time without employer resources and unrelated to employer's business.
