MASTER SUBSCRIPTION AGREEMENT

1. Subscription & Access

• Provider grants Customer a non-exclusive, non-transferable right to access the SaaS Services.

2. Platform Features & AI Functionality

• Provider's Services may include AI features documented in Schedule AI-1.
• Provider will not use Customer Data to train AI models without written consent.

3. Fees & Payment

• Late payments accrue interest per K.S.A. 16-201.

4. Confidentiality

• Kansas Uniform Trade Secrets Act (K.S.A. 60-3320 et seq.) governs trade secret claims.

5. Data Protection, Security & AI Governance

• Kansas Data Breach Notification: Provider shall comply with K.S.A. 50-7a01 et seq.
• Provider shall perform AI impact assessments.

6. Compliance

• Compliance with Kansas Consumer Protection Act (K.S.A. 50-623 et seq.).

7. General Provisions

• Governing Law: Laws of the State of Kansas.
• Venue: State or federal courts in [Johnson County / Sedgwick County], Kansas.
• Jury Waiver: TO THE FULLEST EXTENT PERMITTED BY KANSAS LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
• Electronic Signatures: Kansas Uniform Electronic Transactions Act (K.S.A. 16-1601 et seq.) governs.
