Both prewritten and custom software are taxable regardless of delivery method. Under W. Va. Code Section 11-15-9h, charges to access and use software on a vendor's systems are generally taxable as sales of software at the state rate of 6%, with the potential for an additional 1% municipal tax in certain jurisdictions (total up to 7%). A narrow exemption exists for pure electronic data processing (EDP) services where the true object is processing data rather than providing software functionality.

SECTION 11: GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Governing Law
This Order Form shall be governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of laws principles. The parties acknowledge that SaaS agreements are generally treated as service contracts under West Virginia common law rather than transactions in goods governed by UCC Article 2 (W. Va. Code Chapter 46). This Order Form shall be interpreted under common law principles applicable to service contracts.
11.2 Venue and Jurisdiction

12.2 Entire Agreement
This Order Form, together with the Master Agreement, the DPA, and all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, representations, or agreements, whether written or oral.
12.3 Amendment
This Order Form may not be amended or modified except by a written instrument signed by authorized representatives of both parties.
12.4 Assignment
Neither party may assign this Order Form without the prior written consent of the other party, except that either party may assign this Order Form to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

12.8 Intellectual Property
Provider IP:
Provider retains all right, title, and interest in and to the SaaS platform, software, documentation, APIs, tools, methodologies, and all underlying technology, including all intellectual property rights therein ("Provider IP"). Nothing in this Order Form transfers ownership of any Provider IP to Customer.
Customer Data:
Customer retains all right, title, and interest in and to all data, content, and information uploaded to, processed by, or generated through Customer's use of the platform ("Customer Data"). Provider acquires no rights in Customer Data except the limited license granted below.
License Grants:

WEST VIRGINIA PRACTICE NOTE: Under federal copyright law (17 U.S.C. § 101), SaaS platforms are protected as literary works. The subscription model grants a license to access, not ownership of, the underlying software. West Virginia does not have a state-specific statute restricting employee invention assignment agreements; general common law and federal intellectual property principles govern IP ownership in SaaS transactions. See Community for Creative Non-Violence v. Reid, 490 U.S. 730 (1989).
12.9 Electronic Signatures
This Order Form and all documents related hereto may be executed by electronic signature in accordance with the West Virginia Uniform Electronic Transactions Act (W. Va. Code §§ 39A-1-1 to 39A-1-18) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §§ 7001-7031).

WEST VIRGINIA PRACTICE NOTE: West Virginia adopted the Uniform Electronic Transactions Act (W. Va. Code §§ 39A-1-1 to 39A-1-18), which provides that a record or signature may not be denied legal effect or enforceability solely because it is in electronic form. Under W. Va. Code § 39A-1-7, a contract may not be denied legal effect solely because an electronic record was used in its formation. The federal E-SIGN Act (15 U.S.C. §§ 7001-7031) provides additional federal-level recognition. Both parties should ensure electronic signature processes satisfy the attribution and association requirements under W. Va. Code § 39A-1-9.

This template is intended for use with enterprise SaaS agreements governed by West Virginia law. Under West Virginia law, courts apply the predominant purpose test to determine whether mixed goods/services contracts are governed by UCC Article 2 (W. Va. Code Chapter 46) or common law. SaaS agreements are generally treated as service contracts subject to common law principles. West Virginia imposes a 6% state consumer sales tax (plus up to 1% municipal tax, total up to 7%) on computer software including SaaS under W. Va. Code Section 11-15-9h. A narrow exemption exists for pure electronic data processing services. Data breach notification must be provided without unreasonable delay under W. Va. Code Section 46A-2A-102.
