ARTICLE I: DEFINITIONS
For purposes of this Bill of Sale, the following terms shall have the meanings ascribed below:
1.1 "Seller" means the individual or entity transferring ownership of the Property, as identified in Article II of this document.
1.2 "Buyer" means the individual or entity acquiring ownership of the Property, as identified in Article II of this document.
1.3 "Property" means the personal property described in Article IV of this document, including all accessories, attachments, and appurtenances thereto unless otherwise specified.
1.4 "Purchase Price" means the total consideration paid or to be paid by the Buyer to the Seller for the Property, as set forth in Article V.
1.5 "Bill of Sale" or "Agreement" means this document and all attachments, addenda, and exhibits incorporated herein by reference.
1.6 "AS-IS Condition" means the Property is sold in its present condition, with all faults, and without any warranty of any kind, express or implied, except as otherwise expressly stated in this Agreement.
1.7 "Closing Date" means the date on which the sale is consummated and the Property is delivered to the Buyer.
1.8 "Encumbrance" means any lien, security interest, pledge, mortgage, charge, claim, restriction, or other encumbrance of any kind affecting the Property.
1.9 "DMV" means the Alaska Division of Motor Vehicles, Department of Administration, State of Alaska.
1.10 "UCC" means the Uniform Commercial Code as adopted in Alaska under AS 45.01 through AS 45.29.

CONSUMER PROTECTION NOTE: Under AS 45.50.471 (Alaska Unfair Trade Practices and Consumer Protection Act), it is unlawful to engage in unfair or deceptive acts or practices in the conduct of trade or commerce. Section 6.3 - Alaska Lemon Law Notice (New Motor Vehicles Only)
NOTICE: Alaska's New Motor Vehicle Warranties Act (AS 45.45.300-360) provides protections to purchasers of new motor vehicles. If a new motor vehicle does not conform to an express warranty and the manufacturer, distributor, dealer, or repairing agent is unable to repair the vehicle after a reasonable number of attempts within the warranty term or one year from delivery (whichever is sooner), the manufacturer must accept return of the vehicle and either replace it or refund the purchase price. This law does NOT apply to used vehicles or private-party sales of new vehicles. Consult the Alaska Attorney General's Consumer Protection Unit for more information.
ARTICLE VII: TITLE AND OWNERSHIP

(d) There are no pending or threatened legal actions, claims, or proceedings affecting the Property or Seller's right to transfer the Property;
(e) The Property has not been stolen, and the Seller has no knowledge that the Property was previously stolen or illegally obtained;
(f) All information provided by the Seller in this Bill of Sale is true, accurate, and complete to the best of the Seller's knowledge.
Section 7.2 - Transfer of Title
Upon receipt of the full Purchase Price (or the agreed-upon down payment if sold on installment terms), the Seller hereby sells, transfers, assigns, conveys, and delivers to the Buyer all right, title, and interest in and to the Property described herein, together with all accessories, attachments, and appurtenances thereto, to have and to hold the same unto the Buyer, the Buyer's heirs, successors, and assigns forever.

Section 8.3 - Seller's Indemnification for Liens
The Seller shall indemnify, defend, and hold harmless the Buyer from and against any and all claims, liens, encumbrances, losses, damages, costs, and expenses (including reasonable attorney's fees) arising from any lien, encumbrance, or claim against the Property that existed prior to the Closing Date and was not disclosed in this Article VIII.
ARTICLE IX: VEHICLE-SPECIFIC PROVISIONS (Alaska DMV)

Section 9.1 - Alaska Title Transfer Requirements
The parties acknowledge and agree to the following Alaska DMV requirements:
(a) Seller's Obligations:
- Complete the "Assignment of Vehicle Title by Owner" section on the certificate of title, including printed name and signature in the designated locations;
- Certify the odometer reading on the title (or on Form V6 if the odometer section is not available on the title) for vehicles subject to odometer disclosure;
- Complete and submit the "Notice of Vehicle Sale for Transfer" (attached to the bottom of the original title) to the DMV as soon as possible after the sale;
- Deliver the original certificate of title to the Buyer;
- Remove license plates from the vehicle (plates remain with the Seller in Alaska).
(b) Buyer's Obligations:
- Submit the completed title, Form V1 (Application for Title and Registration), and all applicable fees to the Alaska DMV;
- Obtain new registration and plates within 30 days of the purchase;
- Obtain mandatory liability insurance before operating the vehicle;
- Pay any applicable municipal Motor Vehicle Registration Tax (MVRT).
Section 9.2 - No State Sales Tax; Municipal Tax Responsibility
Alaska does not impose a state sales tax on vehicle purchases. However, many municipalities and boroughs levy local sales taxes that may apply to the purchase of motor vehicles. The Buyer is solely responsible for determining and paying any applicable municipal or borough sales tax based on the location of the sale and/or the Buyer's place of residence.
Section 9.3 - No Emissions Testing or Safety Inspections
Alaska does not require statewide vehicle emissions testing or safety inspections as a condition of vehicle sale, title transfer, or registration. However, this does not relieve the Seller of the obligation to disclose known safety defects or mechanical issues, and the Buyer is encouraged to have the vehicle independently inspected prior to purchase.
Section 9.4 - Snowmobile and ATV Sale Requirements
For snowmobile and ATV sales, the parties must:
(a) Complete Alaska DMV Form 808 (Snowmobile or ATV Sale Notification);
(b) Complete Form V1 (Application for Title and Registration);
(c) Provide a bill of sale or signed affidavit with the date of purchase and names of both the Seller and Buyer;
(d) Submit all applicable registration fees to the DMV;
(e) Note that registration may be obtained for two-year, four-year, or six-year periods, running from the date of initial registration to September 30th of the applicable year.
Section 9.5 - Watercraft Sale Requirements
For watercraft sales, the parties must:
(a) Register the vessel with the Alaska DMV (registration fee: $24 for powered boats, $10 for non-powered boats, $75 for barges);
(b) Obtain a certificate of title for any undocumented vessel over 24 feet in length, or any vessel previously documented with the USCG, per AS 05.25.056;
(c) If the vessel is USCG-documented, ensure the Alaska registration decal is displayed (USCG-documented vessels are exempt from state numbering but must be registered);
(d) Non-powered vessels (kayaks, canoes) without auxiliary power and not used as a sport fishing guide's boat are exempt from registration;
(e) Vessels with valid out-of-state registration operated in Alaska for fewer than 90 consecutive days are exempt from Alaska registration.
Section 9.6 - Remote and Rural Area Considerations
The parties acknowledge the following provisions applicable to remote and rural areas of Alaska:
(a) Off-Highway Community Exemption: In certain rural communities not connected to the Alaska road system, state vehicle registration may not be required if the vehicle operates exclusively off-highway within the community. If the vehicle is transported to areas where registration is required, it must be registered before roadway operation.
(b) Permanent Registration: Residents of unorganized boroughs or organized boroughs that have opted in may be eligible for permanent registration for noncommercial trailers or vehicles eight (8) years old or older, with a one-time $25 permanent registration fee plus applicable fees and Motor Vehicle Registration Tax.
(c) Mail-In Registration: Residents who live more than 50 miles from an Alaska DMV location may complete the vehicle registration process by mail.

ARTICLE X: INDEMNIFICATION
Section 10.1 - Seller's Indemnification
The Seller shall indemnify, defend, and hold harmless the Buyer, the Buyer's heirs, successors, and assigns from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees and court costs) arising out of or related to:
(a) Any breach of the Seller's representations, warranties, or covenants in this Bill of Sale;
(b) Any undisclosed lien, encumbrance, or claim against the Property;
(c) Any use, operation, ownership, or possession of the Property by the Seller or any third party prior to the Closing Date;
(d) Any liability for injuries, death, or property damage occurring in connection with the Property prior to the Closing Date;
(e) Any violation of applicable law by the Seller in connection with the sale or transfer of the Property.
Section 10.2 - Buyer's Indemnification
The Buyer shall indemnify, defend, and hold harmless the Seller, the Seller's heirs, successors, and assigns from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees and court costs) arising out of or related to:
(a) Any use, operation, ownership, or possession of the Property by the Buyer or any third party on or after the Closing Date;
(b) Any liability for injuries, death, or property damage occurring in connection with the Property on or after the Closing Date;
(c) Any failure of the Buyer to properly register, title, or insure the Property as required by law following the transfer.
ARTICLE XI: DISPUTE RESOLUTION
Section 11.1 - Governing Law
This Bill of Sale shall be governed by and construed in accordance with the laws of the State of Alaska, including but not limited to the Alaska Uniform Commercial Code (AS 45.01 through AS 45.29), without regard to its conflict-of-laws principles.
Section 11.2 - Dispute Resolution Process
In the event of any dispute, controversy, or claim arising out of or relating to this Bill of Sale, the parties agree to the following dispute resolution process:
Step 1 -- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of not less than thirty (30) days from the date written notice of the dispute is delivered to the other party.
Step 2 -- Mediation: If negotiation fails, the parties shall submit the dispute to mediation administered by a mutually agreed-upon mediator in the State of Alaska. The costs of mediation shall be shared equally between the parties.
Step 3 -- Litigation or Arbitration (select one):

Section 12.2 - Amendments
This Bill of Sale may not be amended, modified, or supplemented except by a written instrument signed by both parties.

If any provision of this Bill of Sale is held to be invalid, illegal, or unenforceable under the laws of the State of Alaska or any applicable jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Bill of Sale shall remain in full force and effect.
Section 12.4 - Waiver

All notices, requests, demands, or other communications under this Bill of Sale shall be in writing and shall be deemed duly given when: (a) delivered personally; (b) sent by certified mail, return receipt requested, to the addresses set forth in Article II; or (c) sent by email to the addresses set forth in Article II, with confirmation of receipt.
Section 12.6 - Assignment
The Buyer may not assign this Bill of Sale or any rights or obligations hereunder without the prior written consent of the Seller, except that the Buyer may assign its rights to a successor entity in connection with a merger, acquisition, or sale of substantially all of the Buyer's assets.
Section 12.7 - Binding Effect
This Bill of Sale shall be binding upon and shall inure to the benefit of the parties hereto and their respective heirs, executors, administrators, legal representatives, successors, and assigns.
Section 12.8 - Counterparts
This Bill of Sale may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

(e) Permanent registration may be available for qualifying vehicles in unorganized boroughs or participating organized boroughs.
Section 13.5 - Alaska Consumer Protection Acknowledgment
Both parties acknowledge that Alaska law, including AS 45.50.471 (Unfair Trade Practices and Consumer Protection Act), prohibits unfair or deceptive acts in the conduct of trade or commerce. The Seller affirms that all representations made in this Bill of Sale are truthful and not misleading. The Buyer acknowledges the right to report suspected unfair or deceptive practices to the Alaska Attorney General's Consumer Protection Unit.
