Independent Contractor Agreement — Alaska

This Independent Contractor Agreement (the Agreement) is effective [__/__/____] between [CLIENT LEGAL NAME], a [ENTITY TYPE AND FORMATION STATE] at [ADDRESS] (Client), and [CONTRACTOR LEGAL NAME], a [INDIVIDUAL OR ENTITY TYPE] at [ADDRESS] (Contractor). The parties agree as follows.

1. Services and deliverables

Contractor will provide the services and deliverables in Schedule A, which identifies scope, quality criteria, milestones, location, and a Client contact. Client may request changes, but a change to scope, price, or deadline takes effect only when both parties approve it in writing.

Contractor controls the ordinary means, sequence, and method of performance, subject to the agreed result, deadlines, site access, safety requirements, and lawful Client policies identified in Schedule A. Contractor supplies [EQUIPMENT, SOFTWARE, MATERIALS]; Client supplies [ITEMS OR NONE]. Contractor may serve other customers, subject to its confidentiality duties and any specific conflict identified in Schedule A.

Contractor may use qualified personnel or subcontractors only with [NO CONSENT REQUIRED / CLIENT'S WRITTEN CONSENT]. Contractor remains responsible for their performance and confidentiality obligations. Client may communicate reasonable specifications and inspect deliverables but will not direct day-to-day work in a manner inconsistent with the arrangement described here.

2. Fees, invoices, and expenses

Client will pay ☐ $[____] per hour, with a limit of [____] hours absent written approval; ☐ $[____] fixed fee; ☐ the milestone fees in Schedule A; ☐ other: [________________________________].

Contractor will invoice [FREQUENCY OR MILESTONE] with a description of work and approved expenses. Client will pay undisputed invoiced amounts within [____] days after receipt by [PAYMENT METHOD]. Client will identify a good-faith dispute in writing within [____] days and pay the undisputed portion on time. Approved expenses are reimbursed only as stated in Schedule A and with supporting records.

Each party will handle taxes, reporting, insurance, licenses, and registrations applicable to it under governing law. If law requires different withholding or reporting from the arrangement assumed here, the parties will comply with that law and promptly address any required correction. This Agreement does not waive a statutory right or decide a government agency's classification determination.

3. Relationship and classification facts

The parties intend an independent business relationship and not a partnership or agency. Contractor may not bind Client without separate written authority. The parties will perform this Agreement according to the operational facts recorded in Schedule B.

For Alaska employment security purposes, AS 23.20.525(a)(8) considers control and direction in the contract and in fact, whether the service is outside the usual course of the engaging business or outside all its business locations, and whether the individual is customarily engaged in an independently established trade, occupation, profession, or business of the same nature. The title of this Agreement does not establish that those conditions are met. No provision here excludes benefits or coverage that applicable law requires.

4. Confidentiality and work product

Each party will use nonpublic information received from the other only to perform this Agreement, protect it with reasonable care, and disclose it only to personnel who need it and are bound to protect it. This duty does not cover information lawfully public, previously known without a duty, independently developed, or lawfully received from another source without a duty. A legally required disclosure may be made after prompt notice to the other party when lawful and reasonably possible. This duty continues for [____] years after this Agreement ends, subject to any longer duty imposed by law for qualifying trade secrets.

Ownership and use of deliverables are as selected in Schedule A: ☐ Client receives the described assignment upon payment; ☐ Contractor retains ownership and grants Client the described license upon payment. Any preexisting tools, methods, materials, and third-party content remain with their owners unless expressly identified for transfer. Contractor will disclose in Schedule A any third-party license that limits Client's intended use. Neither selection transfers a right Contractor does not own.

5. Term and ending the work

The term begins [__/__/____] and ends [__/__/____], unless extended in writing. Either party may end this Agreement on [____] days' written notice. A party may end it sooner for a material breach that remains uncured [____] days after written notice, or immediately if the breach cannot reasonably be cured.

On termination, Contractor will deliver completed work and reasonably usable work in progress, subject to payment of amounts then due. Client will pay for conforming services performed and approved expenses incurred through termination, less amounts already paid and subject to any agreed milestone allocation in Schedule A. Each party will return the other's confidential materials on written request, except copies it must retain by law or routine backup that remains protected.

6. General terms

Alaska law governs this Agreement. A court action may be brought in a court with jurisdiction in [ALASKA JUDICIAL DISTRICT], subject to applicable jurisdiction and venue rules. Neither party is required by this Agreement to arbitrate or waive a jury right.

Notices under this Agreement must be in writing and sent to the addresses above, or to updated addresses given in writing. Email may be used at [CLIENT EMAIL] and [CONTRACTOR EMAIL] when the recipient acknowledges receipt. This Agreement and its signed schedules are the entire agreement for the services. A change must be in writing and signed by both parties. If a term is unenforceable, the rest remains effective to the extent permitted by law. Neither party may assign this Agreement without the other's written consent, except to a successor to substantially all of its relevant business that accepts the obligations in writing.

Legal authority

  • AS 23.20.525(a)(8) (employment-security service classification)

A contract is a written record of what two or more parties agreed to and what happens if someone does not follow through. Clear language, defined terms, and clean signature blocks keep disputes small and enforceable. The most common mistakes in contracts come from vague promises, missing details about timing or payment, and skipping standard protective clauses like governing law and dispute resolution.
