What this survey covers

This survey answers what an incorporator files to create an ordinary domestic nonprofit or nonstock corporation under state law. It compares the required articles or certificate, who signs, what the filing must say, the filing charge, and when the corporation begins to exist. Federal tax exemption and charitable solicitation registration are separate processes.

Why the columns stay separate

Florida's § 617.0202 requires both a purpose and a director-selection statement, although the latter may direct readers to the bylaws for the method. Texas § 3.005 allows a general lawful-purpose statement in a certificate of formation. Virginia § 13.1-819 requires a no-member statement when applicable and a director-selection statement when directors are not chosen by member classes. Wyoming § 17-19-202 requires an entity-type election and a signed registered-agent consent. Those differences make membership, directors, agent acceptance, and formation effectiveness separate comparison questions.
