Requirements one by one

Articles and incorporators

One or more persons deliver articles to the Secretary of State under § 504.201. The articles state the corporate name, initial registered office and agent, every incorporator's name and address, whether there will be members, and lawful dissolution distribution provisions (§ 504.202(1)(a)–(e)). The name must be distinguishable on the Secretary's records under § 504.401(2). A purpose statement is optional; it may authorize any lawful activity (§ 504.202(2)(a)).

Directors, agent, and signature

Initial-director names and addresses may be included, but § 504.202(2)(b) does not require them. The registered office must have the same address as the agent (§ 504.501). An incorporator named in the articles signs them (§ 504.202(3)); the signer also states a name and capacity under § 504.111(6)–(7). The required-contents list in § 504.202(1) names the agent but does not call for a separate consent document.

Fee and beginning of existence

The Secretary of State's nonprofit fee table lists $20 for domestic articles; § 504.113(1)(a) delegates the specific fee to the Secretary. Filing starts corporate existence under § 504.203(1), unless a later effective date is stated. The delay cannot extend beyond the 90th day after filing (§ 504.114(2)).

What trips people up

The 2026 session law says, "The secretary of state may require a document to be delivered by mail or in person" on credible information of a fraudulent or unlawful filing (2026 Iowa Acts ch. 1145, § 44, amending § 504.116(5)). The 2026 Code PDF predates that amendment; the enacted act controls this exception.

Must articles state a specific charitable purpose?

Section 504.202(2)(a) makes a purpose statement optional and permits an any-lawful-activity formulation.

Do articles have to say whether the nonprofit has members?

Yes. Section 504.202(1)(d) requires that statement for a new incorporation.
