Requirements one by one
Governing law and filing
The definition in § 181.0103(5) includes a nonprofit corporation within Chapter 181’s nonstock corporation rules. Under § 181.0201, one or more persons act as incorporators by delivering articles to the Department of Financial Institutions (§ 181.0103(8)). The articles must state that the corporation incorporates under Chapter 181 and identify every incorporator by name and address (§ 181.0202(1)(a) and § 181.0202(1)(e)).
Name, purpose, and members
§ 181.0202(1)(b) requires a compliant corporate name; § 181.0401(1)(a)1. specifies corporate words or abbreviations. Under § 181.0301(1), any lawful activity is the default purpose, and § 181.0202(2)(b)1. permits a narrower purpose in the articles. The articles must state whether the corporation will have members (§ 181.0202(1)(f)); if it elects distribution authority under § 181.1302(4), it must say so (§ 181.0202(1)(g) and § 181.1302(4)(a)).
Directors, offices, and agent
§ 181.0202(2)(a) permits initial directors’ names and addresses in the articles. If none are named, § 181.0205(1)(b) sends the incorporators to an organizational meeting to elect directors or a board. The articles give the mailing address of the initial principal office separately from the street address of the initial registered office, plus the registered agent’s name and e-mail address (§ 181.0202(1)(c) and § 181.0202(1)(d)). § 181.0501(2m) requires the registered office to be a physical location in Wisconsin, not just a post office box.
Signing, consent, and charge
Under § 181.0208(1)(d)–(e), the authorized signer signs and states name and capacity; no seal, attestation, acknowledgment, or verification is needed. § 181.0501(1m) makes the corporation’s agent designation an affirmation that the agent consented. It does not prescribe a separate agent signature in that provision.
§ 181.0507(2)(a)1. sets the articles fee at $35. Under § 181.0507(2)(c), the Department may set a larger paper-format charge by rule; the $35 figure is the statutory base.
Start of existence
§ 181.0203(1) starts corporate existence when the articles become effective under § 181.0209. Under § 181.0209(1)(a), a filed record normally takes effect on its date of receipt by the Department. § 181.0209(2) permits a stated delayed effective date and time, no more than 90 days after receipt.
What trips people up
The principal office is identified by mailing address, while the registered office needs a physical street address (§§ 181.0202(1)(c)–(d), 181.0501(2m)). The consent statement is made by the corporation through its agent designation (§ 181.0501(1m)); it should not be mistaken for a separate agent-signature requirement.
Common questions
Must the articles name the first directors?
§ 181.0202(2)(a) treats that list as optional. If it is omitted, the incorporators conduct the director-election step under § 181.0205(1)(b).
Does Chapter 181 require members?
The articles must answer whether members will exist under § 181.0202(1)(f). The question is a filing statement, and the corporation may state that it will have no members.
