For an ordinary domestic nonprofit corporation, who chooses its initial and successor directors, how long may they serve, when may terms be staggered, and what happens when a term expires or a seat is filled midterm?
What this survey covers
A nonprofit board's composition changes when initial seats expire, members vote, another person appoints a director, or a replacement fills part of a term. This table separates the selector from the length of service and the holdover rule after a term ends.
Why the columns differ
Florida § 617.0804 now distinguishes membership and nonmembership corporations, with board selection as the fallback when nonmembership documents state no method. Texas § 22.206 also uses a board fallback, while its certificate may vest management in members under § 22.202. Wyoming § 17-19-805 limits most elected director terms to five years and distinguishes the term of a replacement for a member-elected seat from another replacement. Virginia §§ 13.1-855 and 13.1-857 currently defaults to annual member elections and a one-year term; revised provisions are scheduled for January 1, 2027. California §§ 5220 and 7220 limits most elected public and mutual benefit directors to four years, or six years without members. Tennessee § 48-58-105 also caps elected terms at five years while exempting appointed and designated directors. Washington § 24.03A.515 uses a five-year ceiling for elected directors and allows appointed or designated directors to serve terms of any length.
Scope boundaries
This survey addresses who chooses directors and how long they serve. The separate director removal and vacancy survey addresses removal authority and who may fill an open seat. Neither table determines whether a particular board action was valid.
