Requirements one by one
First board and successor elections
Iowa requires a nonprofit board, but articles may assign some or all board powers to others who then take the corresponding director duties (§ 504.801). Articles may identify initial directors (§ 504.202). If they do not, incorporators elect directors at organization; named initial directors instead organize the corporation themselves (§ 504.205).
Members ordinarily elect later directors at the first annual meeting and each annual meeting after that. Articles or bylaws may change the time or method, provide for another person's appointment of some directors, or designate some directors. Without members, articles or bylaws set the method; if they do not, the board elects (§ 504.804). Elections may use delegates, chapters, regions, preferential voting, or another reasonable method if articles or bylaws provide it (§ 504.717).
Terms and replacements
An unspecified term is one year. Elected terms ordinarily cannot exceed five years, but the articles or bylaws may provide otherwise; that ceiling does not cover appointed or designated directors. Successive terms are permitted (§ 504.805). Articles or bylaws may create staggered groups with unequal terms (§ 504.806).
The default replacement term depends on the seat: a member-elected seat lasts until the next member director election, while another replacement completes the remaining term. Articles or bylaws may change those rules (§ 504.805). A director whose term has expired continues until a successor is selected and qualifies or the board size decreases; reducing the number of directors or their term does not cut short an incumbent's term (§ 504.805).
What trips people up
The five-year ceiling has two qualifications: appointed and designated directors are excluded, and articles or bylaws may set another rule (§ 504.805). Staggered groups may have unequal terms, but the applicable term rule still matters for each seat (§§ 504.805–504.806).
