Requirements one by one

First and later directors

The corporation's affairs are managed by a board of directors (§ 53-8-17).

The articles must name the consenting initial directors (§ 53-8-31). Their initial service ends at the first annual director election unless the articles or bylaws specify another period. Later elections or appointments occur in the manner those documents provide (§ 53-8-18).

Member and class voting rights can be enlarged, limited or denied in the articles or bylaws. Without such a change, each member has one vote on matters submitted to members; if no members exist or none has voting rights, directors hold the sole voting power (§ 53-8-15). The statute allows bylaws to use mail voting where members elect directors.

Term, classification and holdover

If the articles and bylaws do not fix a director's term, it is one year (§ 53-8-18). Directors may serve in classes with nonuniform terms. Section 53-8-18 specifies neither a maximum term nor a fixed number of classes. A director remains until a successor is elected or appointed and qualified.

What trips people up

A replacement for an existing vacancy serves only the predecessor's unexpired term. A board-filled seat created by increasing the number of directors can instead last only until the next director election (§ 53-8-19). These are different term rules.

Common questions

Must members elect every later director? The articles or bylaws provide the election or appointment method. Where there are no voting members, directors have the sole voting power (§§ 53-8-15, 53-8-18).

Can director classes have different term lengths? Yes. Section 53-8-18 expressly permits nonuniform terms among classes.
