Requirements one by one

Board and first directors

Chapter 3A ordinarily places corporate powers and management under a board, but the certificate can give defined board powers and duties to another person or group (§ 10A-3A-8.01). The certificate may name initial directors (§ 10A-3A-2.02). Otherwise incorporators elect initial directors or a board to complete organization (§ 10A-3A-2.04).

Successor choice and terms

The certificate or bylaws set election, appointment, or designation methods. If silent, members entitled to vote elect a membership corporation's directors at the first and later annual meetings; the board elects a nonmembership corporation's directors (§ 10A-3A-8.04). Authorized member classes may elect specified seats (§ 10A-3A-8.04).

The certificate or bylaws may specify terms; the default is one year (§ 10A-3A-8.05). Section 10A-3A-8.05 states no numerical term ceiling. The documents may stagger directors in groups with different sizes and term lengths (§ 10A-3A-8.06).

Unless the documents differ, a vacancy replacement serves the remainder of the prior term. An expired-term director serves until a successor is selected and takes office, unless the documents change that rule or board size decreases (§ 10A-3A-8.05).
