Short answer Oregon nonprofits must have a board. Articles may name the initial directors; otherwise incorporators elect them. Members entitled to vote for directors ordinarily elect successors annually, while memberless selection follows the documents or falls to the board. Elected terms cannot exceed five years; appointed and designated directors are exempt. Replacements for elected seats last to the next director election.

Requirements one by one

Board and first directors

Chapter 65 requires a board, which retains authority over powers it delegates (§ 65.301). Articles may name initial directors (§ 65.047). Otherwise incorporators elect directors or a board that completes organization (§ 65.057).

Successors and term limits

Members entitled to vote for directors ordinarily elect at the first and later annual meetings; articles or bylaws may change that method or provide appointed or designated seats. Without director-voting members, documents govern, with board election as the fallback (§ 65.311). The chapter recognizes directors elected by a member class, chapter, unit, region, or other geographic group (§ 65.324).

The documents set terms; one year applies if silent. Elected terms cannot exceed five years; appointed and designated directors are excepted. Successive terms are allowed (§ 65.314). Articles or bylaws may stagger director groups with unequal terms (§ 65.317).

Unless documents differ, a replacement for an elected seat serves until the next director election. Another replacement completes the unexpired term. An expired-term director ordinarily serves until a successor is selected and qualifies, or board size decreases (§ 65.314).

What trips people up

The replacement rule refers to an elected director, rather than only a member-elected director (§ 65.314).

Common questions

Does the five-year ceiling cover appointed seats? No. Appointed and designated directors are expressly excepted (§ 65.314).

Can the board elect without director-voting members? Yes, if the documents give no election, appointment, or designation method (§ 65.311).
