Overview of Colorado Mechanics' Lien Waiver Law

Colorado does not prescribe mandatory statutory lien waiver forms. However, Colorado imposes a unique requirement under C.R.S. § 38-22-119: any agreement to waive lien rights must contain a statement that all debts owed to third parties relating to the goods or services covered by the waiver have been paid or will be timely paid.

Critical: Third-Party Payment Certification Requirement

Under C.R.S. § 38-22-119(2), every lien waiver must include a statement that all debts owed to third parties (subcontractors, suppliers, laborers) relating to the goods or services covered by the waiver have been paid or will be timely paid. Failure to include this certification may render the waiver ineffective against third parties.

Advance Waiver of Lien Rights

Colorado law does not prohibit advance waivers of lien rights. However, under § 38-22-119(1), an agreement to waive, abandon, or refrain from enforcing a lien is binding only between the parties to the contract — it does not affect the rights of third parties such as subcontractors or suppliers.

Colorado Trust Fund Doctrine

Under C.R.S. § 38-22-127, all moneys disbursed to a contractor or subcontractor for construction are trust funds to be applied first to the payment of persons who furnished labor, materials, equipment, or services. Diversion of trust funds is a criminal offense (theft). Lien waivers should reference this doctrine.

When to Use Each Waiver Form

  1. Conditional Waiver on Progress Payment — Use when a progress payment check has been tendered but not yet cleared.
  2. Unconditional Waiver on Progress Payment — Use after a progress payment has been received and cleared.
  3. Conditional Waiver on Final Payment — Use when the final payment has been tendered but not yet cleared.
  4. Unconditional Waiver on Final Payment — Use after the final payment has been received and fully cleared.

Important Warnings

WARNING: Under C.R.S. § 38-22-119(2), every lien waiver MUST contain a statement regarding payment of debts to third parties. All four forms below include this required language.

WARNING: Satisfaction of a paid recorded lien is governed by § 38-22-118, not § 38-22-128. The section uses the payment or qualifying-tender conditions stated there, a written request, ten days, and a $10-per-day forfeiture for continued neglect or refusal.

WARNING: Colorado's trust fund doctrine (§ 38-22-127) means that construction funds are held in trust. A contractor who receives payment and fails to pay subcontractors/suppliers may face criminal prosecution for theft, in addition to lien exposure.

Except as provided in subsections (10) and (11) of this section, the lien statements of all other lien claimants must be filed for record at any time before the expiration of four months after the day on which the last labor is performed or the last laborers or materials are furnished by such lien claimant. No lien claimed by virtue of this article shall hold the property longer than six months after the last work or labor is performed, or laborers or materials are furnished, or after the completion of the building, structure, or other improvement, unless an action has been commenced within that time to enforce the same and a notice stating that such action has been commenced is filed for record within that time."

C.R.S. § 38-22-118 (checked 2026-08-26): "The claimant of any such lien, the statement of which has been filed, on the payment of the amount thereof, together with the costs of filing and recording such lien, and the acknowledgment of satisfaction, and accrued costs of suit in case a suit has been brought thereon, at the request of any person interested in the property charged therewith, shall enter or cause to be entered an acknowledgment of satisfaction of the same of record, and if he neglects or refuses to do so within ten days after the written request of any person so interested, he shall forfeit and pay to such person the sum of ten dollars per day for every day of such neglect or refusal. A valid tender of payment, refused by any such claimant, shall be equivalent to a payment for the purpose of this section."
