ARTÍCULO 3: EXCLUSIONES

a) Era de conocimiento público al momento de la revelación, o se hace pública posteriormente sin culpa de la Parte Receptora;
Was publicly known at the time of disclosure, or subsequently becomes public through no fault of the Receiving Party;

b) Ya estaba en posesión legítima de la Parte Receptora antes de la revelación;
Was already in the legitimate possession of the Receiving Party prior to disclosure;

c) Fue recibida de un tercero sin obligación de confidencialidad;
Was received from a third party without obligation of confidentiality;

d) Fue desarrollada independientemente por la Parte Receptora sin uso de la Información Confidencial;
Was independently developed by the Receiving Party without use of the Confidential Information;

e) Es requerida por ley, orden judicial o agencia gubernamental, siempre que se notifique a la Parte Reveladora con anticipación razonable.
Is required by law, court order, or governmental agency, provided reasonable advance notice is given to the Disclosing Party.

ARTÍCULO 4: OBLIGACIONES DE LA PARTE RECEPTORA

ARTICLE 4: OBLIGATIONS OF THE RECEIVING PARTY

4.1 Obligaciones de Confidencialidad / Confidentiality Obligations:

La Parte Receptora se compromete a:

Maintain the Confidential Information in strict confidence;

Use the Confidential Information solely for the purpose stated in this Agreement;

☐ Limitar el acceso a la Información Confidencial a empleados que tengan necesidad de conocerla;
Limit access to Confidential Information to employees who have a need to know;

☐ Informar a dichos empleados sobre las obligaciones de confidencialidad;
Inform such employees of confidentiality obligations;

☐ Proteger la Información Confidencial con el mismo grado de cuidado que usa para su propia información confidencial, pero no menos que un cuidado razonable;
Protect the Confidential Information with the same degree of care used for its own confidential information, but no less than reasonable care;

ARTÍCULO 5: DURACIÓN Y TERMINACIÓN

ARTÍCULO 7: PROPIEDAD INTELECTUAL

ARTICLE 7: INTELLECTUAL PROPERTY

7.1 Derechos de Propiedad / Ownership Rights:

Este Acuerdo no otorga a la Parte Receptora ningún derecho de propiedad intelectual sobre la Información Confidencial.
This Agreement does not grant the Receiving Party any intellectual property rights in the Confidential Information.

Toda la Información Confidencial permanece siendo propiedad exclusiva de la Parte Reveladora.
All Confidential Information remains the exclusive property of the Disclosing Party.

7.2 Sin Licencia Implícita / No Implied License:

Nada en este Acuerdo otorga ninguna licencia, implícita o de otro tipo, bajo patentes, derechos de autor, marcas comerciales o secretos comerciales de la Parte Reveladora.
Nothing in this Agreement grants any license, implied or otherwise, under patents, copyrights, trademarks, or trade secrets of the Disclosing Party.

ARTÍCULO 8: REMEDIOS

ARTICLE 8: REMEDIES

8.1 Remedios por Incumplimiento / Remedies for Breach:

Las Partes reconocen que el incumplimiento de este Acuerdo puede causar daños irreparables que no pueden ser compensados adecuadamente con dinero.
The Parties acknowledge that breach of this Agreement may cause irreparable harm that cannot be adequately compensated by money damages.

En consecuencia, además de cualquier otro remedio legal o equitativo disponible, la Parte Reveladora tendrá derecho a:

9.6 Divisibilidad / Severability:

Si alguna disposición de este Acuerdo se considera inválida o inaplicable, las disposiciones restantes permanecerán en pleno vigor y efecto.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9.7 Renuncia / Waiver:

El incumplimiento de cualquiera de las Partes de hacer cumplir cualquier disposición de este Acuerdo no constituirá una renuncia a dicha disposición o al derecho de hacerla cumplir en el futuro.
The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of such provision or the right to enforce it in the future.

9.8 Avisos / Notices:

Todos los avisos bajo este Acuerdo deben ser por escrito y enviados a las direcciones indicadas anteriormente.
All notices under this Agreement must be in writing and sent to the addresses stated above.

ARTÍCULO 10: RELACIÓN ENTRE LAS PARTES

ARTICLE 10: RELATIONSHIP BETWEEN PARTIES

Nada en este Acuerdo crea una sociedad, empresa conjunta, relación de agencia o empleo entre las Partes.
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the Parties.
