OKLAHOMA TRADE NAME REPORT WORKSHEET

1. FILING OBLIGATION

A corporation or other business entity doing business in Oklahoma under a name other than its legal name must file a trade-name report with the Secretary of State. For this rule, business entity includes corporations, business trusts, common-law trusts, LLCs, and unincorporated businesses, including partnerships.

3. FILING

3.1 File the current Trade Name Report with the Oklahoma Secretary of State. The report must be executed by a representative authorized to sign for the business entity.

3.2 The current statutory and form filing fee is $25.

3.3 Sections 1140 through 1140.3 and the current Secretary of State form do not impose a newspaper-publication requirement or a periodic renewal term for the trade-name report.

4. CHANGES, TRANSFER, AND WITHDRAWAL

4.1 File an amended report if the original report contains a false or erroneous statement, the kind of business changes, or an address where business is conducted changes or is added.

4.2 The current Amended Trade Name Report cannot change the trade name itself. Use the Secretary of State's current process for a new name.

4.3 File a transfer report when ownership of the trade name is transferred to another business entity. State the transferee and the address where the business will be conducted.

4.4 File a withdrawal report when the entity elects to cease doing business in Oklahoma under the trade name.

4.5 Each amendment, transfer, or withdrawal report must be signed by an authorized representative. Confirm the current form and fee before filing.
