2. DEFINITIONS

“Effective Filing Date” means the date the Trade Name Statement is processed and accepted by the Colorado Secretary of State.
“Registrant” means each person or entity listed above that has an ownership interest in the Trade Name.
“Renewal Window” means the three months before expiration for an individual, non-reporting entity, or estate/trust/state/other-jurisdiction filing. A reporting-entity trade name generally remains effective while the entity is in Good Standing or Non-compliant status.

3. OPERATIVE PROVISIONS

3.1 Purpose. This Worksheet prepares the online Statement of Trade Name required for a for-profit business that operates under a name other than its true name. A nonprofit may file but is not required to do so.

3.2 Filing Method. Submit and pay for the appropriate Statement of Trade Name online through the Colorado Secretary of State. Colorado's official trade-name instructions do not impose newspaper publication.

3.3 Filing Information. Enter the Trade Name, the Registrant's true name and identifying information, and the information required by the online form for the selected Registrant type. A trade-name filing does not create a separate legal entity, reserve the name, or make the name unique.

3.4 Duration and Renewal.

• For an individual, non-reporting entity, or estate/trust/state/other jurisdiction, the filing is effective for one year and expires on the first day after the anniversary month unless renewed during the preceding three months.
• For a reporting entity, the filing remains effective while the entity is in Good Standing or Non-compliant status. If the entity becomes Delinquent or Dissolved, the trade name remains effective for one year; timely cure or annual renewal may preserve it as described by the Secretary of State.
• An expired trade name cannot be renewed; file a new Statement of Trade Name instead.

3.5 Withdrawal and Changes. A Registrant may file a withdrawal, correction, or change through the business record. A trade name is not transferable, but another person may file the same name.

4. REPRESENTATIONS & WARRANTIES

4.1 Authority. Each Registrant represents that it possesses full authority to adopt and use the Trade Name and to execute this Notice.

4.2 Non-Infringement. Registrant warrants, to the best of its knowledge and belief, that use of the Trade Name does not infringe any trademark, service mark, or trade name rights of third parties.

4.3 Accuracy. Registrant represents that all information submitted in the online filing is true, correct, and complete as of the filing date.

5. COVENANTS & RESTRICTIONS

5.1 Continuing Compliance. Registrant shall comply with Title 7, Article 71 and separate entity, licensing, tax, and trademark requirements applicable to the business.

5.2 Updates. Use the Secretary of State's available correction, change, withdrawal, or new-filing process as appropriate to the change.

5.3 Name rights. Trade names are not required to be distinguishable or unique. The filing does not resolve trademark or other ownership rights.

6. FILING STATUS

The Secretary of State may show a filing as effective or expired under the applicable duration rules. This Worksheet creates no publication default, 30-day cure period, private damages remedy, or automatic right to equitable relief.

9.2 Severability. If any provision of this Notice is held invalid, the remaining provisions shall remain in full force to the maximum extent permitted by law.

9.3 Entire Notice. This document, together with the filing accepted by the Secretary of State and the proof of publication, constitutes the complete public notice regarding the Trade Name.
