Name/DBA Fictitious Business Name Notice

ALASKA BUSINESS NAME / DBA WORKSHEET

Alaska has two separate name-related filings. An Alaska Business License may carry a DBA but does not protect the name. An optional Business Name Registration under Alaska Statutes chapter 10.35 gives exclusive rights in the Corporations Database for a five-calendar-year term.

1. SELECT THE FILING

A. Alaska Business License

Use the Business Licensing process to obtain or maintain the license required for the business activity and to list the DBA. Business Licensing may issue the same or a similar DBA to more than one license holder; the license does not create exclusive name rights.

B. Business Name Registration for Exclusive Rights

Before registering a business name with the Corporations Section, the applicant must already hold or first obtain an Alaska Business License in the same name. Registration is optional but, if accepted, gives the registrant the exclusive right to use the registered name in the Corporations Database.

3. REGISTRATION REQUIREMENTS

3.1 The name must be distinguishable on the department's records from organized-entity names and reserved or registered names described in Alaska Stat. § 10.35.040.

3.2 The application must be executed by an owner and include the owner's name and address, the business name and address or addresses, each interested person's name and address, a statement that the owner is doing business, and a brief statement of the nature of the business.

3.3 Alaska's statewide procedure reviewed for this worksheet imposes no newspaper-publication or affidavit-of-publication requirement.

4. TERM AND RENEWAL

4.1 The registration year counts as a full calendar year. The registration remains effective through the close of the fifth calendar year beginning with the initial-registration year; it is not measured as five years from the filing anniversary.

4.2 A registered name may be renewed every five years. File the renewal application between October 1 and December 31 of the renewal year. The renewal must restate the facts required in the original application and extends registration through the following five calendar years.

5. EFFECT OF REGISTRATION

5.1 A registrant may seek to enjoin another person's use of a name that is not distinguishable on the department's records and has a statutory damages claim for that use.

5.2 Chapter 10.35 does not eliminate rights between persons who have not registered a business name. Conduct appropriate trademark and prior-use review.

5.3 Keep both the Business License and Business Name Registration active to maintain the administrative name protection described by the Division.

• Business licenses may be annual or biennial; do not state that every license must use a two-year cycle.
