II. DEFINITIONS

“Fictitious Business Name” – the assumed or “doing business as” name identified in Section I.3.

“Registrant” – the person or entity identified in Section I.2 filing the Fictitious Business Name.


III. OPERATIVE PROVISIONS

  2. Filing Obligation.
    a. Registrant shall file the required “New Business Name Registration” form (or successor form) with the Business Registry and pay all statutorily-mandated filing fees.

  3. Certificate Term & Renewal.
    a. Initial Term: Five (5) years from the date the Business Registry issues a Certificate of Registration.

    d. Effect of Non-Publication: Failure to publish under this Section III.4, where local ordinance requires publication, may render the Fictitious Business Name unenforceable within that locality until compliance is achieved.

  5. Changes to Registration.
    a. Registrant shall file an amendment with the Business Registry within thirty (30) days of any change to the Fictitious Business Name, ownership information, principal place of business, or entity status.
    b. Upon cessation of use of the Fictitious Business Name, Registrant shall file a cancellation with the Business Registry within thirty (30) days.


IV. REPRESENTATIONS & WARRANTIES

  1. Authority. Registrant represents that the individual signing this Notice is duly authorized to bind Registrant.

  2. Name Availability. Registrant has conducted a good-faith search of the Business Registry and reasonably believes the Fictitious Business Name is available and not deceptively similar to any existing registered name.

  3. Compliance. Registrant warrants ongoing compliance with all applicable federal, state, and local laws relating to use of the Fictitious Business Name.

  4. No Infringement. To Registrant’s actual knowledge, use of the Fictitious Business Name does not infringe the trademark or other proprietary rights of any third party.

V. COVENANTS & RESTRICTIONS

  1. Exclusive Use. Registrant shall not knowingly permit any unrelated third party to use the Fictitious Business Name within Alaska without an assignment or separate registration.

  2. Maintenance of Good Standing. Registrant shall remain in good standing with the Business Registry at all times during the certificate term.

  3. Recordkeeping. Registrant shall retain true and correct copies of all filings, amendments, renewals, and (if applicable) proofs of publication for a minimum of seven (7) years after cessation of use of the Fictitious Business Name.


VI. DEFAULT & REMEDIES

  1. Events of Default. A default occurs if:
    a. Registrant fails to file a timely renewal;
    b. Registrant fails to amend or cancel as required in Section III.5; or
    c. Any representation in Section IV is materially false when made.

  2. Consequences. Upon default, the Fictitious Business Name registration may lapse or be administratively revoked by the Business Registry, and Registrant may lose statutory protections associated with the Fictitious Business Name.

  3. Cure. Registrant may cure any default by correcting the deficiency and paying any applicable statutory penalties within thirty (30) days of notice (or such shorter period as the Business Registry may prescribe).


VII. RISK ALLOCATION

VIII. DISPUTE RESOLUTION

  1. Governing Law. This Notice is governed by the laws of the State of Alaska, without regard to conflict-of-laws principles.

  2. Forum Selection. Exclusive jurisdiction and venue lie in the state courts of Alaska located in the judicial district where the principal place of business is situated, unless the Business Registry mandates an alternative administrative forum.

IX. GENERAL PROVISIONS

  5. Counterparts. This Notice may be executed in any number of counterparts, each of which is deemed an original.
