Corporation Annual/Biennial Compliance and Good-Standing Packet - Oklahoma
OKLAHOMA CORPORATION PERIODIC-COMPLIANCE AND STATUS PACKET
No universal corporation annual report. Oklahoma's franchise tax ended after tax year 2023. A domestic corporation has no recurring Secretary of State annual-report equivalent to the LLC Annual Certificate. Foreign corporations retain distinct annual-certificate and registered-agent-fee controls.

3. FOREIGN-CORPORATION ANNUAL CERTIFICATE
On each qualification anniversary, a foreign corporation files the officer's certificate required by § 1142(A)(17), stating maximum Oklahoma-invested capital and the amount previously paid upon. The statute provides a $10 filing/indexing fee and may require an additional capitalization fee; the certificate ends after the corporation has paid on total authorized capitalization.
☐ Officer authority, investment calculation, prior capitalization payments, and certificate-ending threshold confirmed.
4. FOREIGN REGISTERED-AGENT FEE
The Oklahoma Tax Commission states that foreign corporations, including nonprofits, use current Form 200-R for the separate registered-agent fee due July 1. Section 1142 states the fee as $100.
☐ Correct franchise-year Form 200-R and payment evidence retained.
☐ SOS annual certificate, OTC registered-agent fee, income tax, and status evidence kept as separate controls.

Legal authority
- Okla. Stat. tit. 18, § 1142
Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
