2. VIRGINIA ROUTE
A corporation that ceased to exist may apply within five years under § 13.1-754, subject to the statute's exclusions for specified Commission or court-ordered terminations. The application includes the Commission identification number and may be signed by an officer or director, or in the statutory circumstances by an agent of shareholder interests after diligent search.
The filing requires the $100 statutory reinstatement fee, all annual registration fees and penalties that were or would have been due, the annual report for the latest assessed year, any required name-change articles, and any required registered-agent change.

4. EFFECT AND INACTIVE-PERIOD REVIEW
Upon the Commission's order, § 13.1-754 deems corporate existence continuous from termination as if it had never occurred and addresses liabilities incurred during the interval on that basis.
