ALASKA CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET

Two-year diagnostic gate. This packet addresses a domestic business corporation involuntarily dissolved by the commissioner under AS 10.06.633. It is not a route for voluntary dissolution, revocation of a foreign corporation's authority, merger, conversion, or judicial dissolution.

Scope gate. Excludes Native village corporations, nonprofit and religious corporations, professional or regulated entities, insolvent corporations, and disputed-control matters. Those entities may have different or exceptional statutes.

1. STATUS RECORD

Attach the official entity record, certificate and notices, filing history, articles and amendments, bylaws, stock ledger, biennial-report history, and all agency correspondence.

2. AS 10.06.633(e) ELIGIBILITY

A business corporation dissolved under AS 10.06.633 may be reinstated within two years from the certificate date if the commissioner is satisfied either that no cause existed or that the neglect, omission, delinquency, or noncompliance has been corrected. The statute requires payment of double the delinquent amount plus the amount the corporation would have paid had it not been dissolved during the two-year period.

☐ Filing occurs within the statutory two-year period.

☐ Each stated ground has been disproved or cured with supporting evidence.

☐ The Division has calculated or confirmed the complete reports, tax, fee, and penalty cure.

☐ No general-business-corporation deadline is being displaced by an exception for a different corporation type.

If the former name is unavailable under AS 10.06.105(d), reinstatement requires an articles amendment changing the name to one that complies with the chapter.

3. CURE AND REQUEST INVENTORY

The Division's current guidance directs the requester to email the entity name and Alaska entity number to the Corporations Section to begin reinstatement review. Do not treat that initial request as acceptance.

4. EFFECT AND GAP-PERIOD REVIEW

AS 10.06.633(e) supplies eligibility and cure conditions but does not state a general relation-back rule for every business corporation. Do not promise that reinstatement automatically validates every gap-period act, restores every license, revives every deadline, defeats every defense, or eliminates personal liability.

5. POST-ACCEPTANCE WORK

☐ Official Division record shows the intended active status and correct name.

☐ Accepted filings, receipts, correspondence, and current entity record saved.

☐ Corporate records, taxes, payroll, licenses, insurance, banks, contracts, lenders, permits, and foreign qualifications reviewed separately.

☐ New biennial-report and compliance calendar assigned.
