4. SHARE-BASED ANNUAL FEE
As of 2026-07-29, § 13.1-775.1 sets $50 for 5,000 or fewer authorized shares. Above 5,000 shares, the fee is $50 plus $15 for each additional 5,000 shares or fraction, capped at $850. A late annual fee incurs a 10% penalty.
