ARIZONA CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET

Scope gate. Use for a domestic profit corporation only. Excludes nonprofit, professional, regulated, insolvent, disputed-control, judicially dissolved, merged, converted, and foreign corporations unless counsel supplies the correct route.

1. STATUS RECORD

Attach the official entity record, every status notice, filing history, tax or fee correspondence, articles, amendments, bylaws, stock ledger, and current officer/director record.

2. ARIZONA ROUTE

Use only for a domestic corporation administratively dissolved under § 10-1421. Section 10-1420 lists curable grounds including unpaid statutory fees or penalties, a late annual report, missing statutory agent or known place of business, unreported agent or office changes, specified publication failures, and expired stated duration. A voluntary or judicial dissolution is outside this route.

Section 10-1422 permits an application within six years after the effective dissolution date. The application states the corporate name, dissolution date, and that each ground did not exist or has been eliminated. If the former name has been adopted by another corporation or as a trade name, articles of amendment adopting a compliant new name must accompany the application.

4. EFFECT AND INACTIVE-PERIOD REVIEW

Arizona reinstatement relates back to the administrative-dissolution date and the corporation resumes business as if dissolution had not occurred. Record the statute, but separately review third-party reliance, licenses, limitations periods, contracts, and acts outside corporate authority.
