2. SECTION 7-90-1002 APPROVAL GATES

The corporation must obtain the vote or consent required by its governing documents or, if those documents are silent, the vote or consent sufficient for dissolution under the organic statutes. Unless the governing document provides otherwise, a person with authority to bring about or prevent dissolution must not have voted against or delivered a written objection to reinstatement.

Additional gates apply when dissolution was initiated by owners, creditors, or the attorney general: initiating owners must affirmatively consent; initiating creditors must be paid or discharged in full; and attorney-general grounds must be remedied with attorney-general consent.

4. NAME AND EFFECT

Under § 7-90-1004, a compliant former name is restored. If it does not comply, the post-reinstatement name is the former name followed by “reinstated” and the effective date of the articles.

Under § 7-90-1005, existence is deemed to have continued without interruption, business resumes as if dissolution had not occurred, and debts, obligations, and liabilities are determined on that basis. Rights arising from reliance on dissolution before notice of reinstatement remain protected.
