UTAH CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET

Current any-time route with a scheduled repeal. Current § 16-10a-1422 permits a dissolved corporation to apply at any time if its name is available and the statutory application, payment, tax-status, office, agent, and consent requirements are met. Sections 16-10a-1422 and 16-10a-1423 are repealed effective October 1, 2026; filings on or after that date require a fresh citation and procedure check.

4. EFFECT, NAME, AND APPEAL REVIEW

The corporation retains its corporate and assumed names for five years after dissolution, but availability must be confirmed. A denial notice must state the reasons and the right to appeal to the Department of Commerce executive director under the Utah Administrative Procedures Act.

☐ Licenses, taxes, insurance, contracts, litigation deadlines, banking, property, and foreign qualifications reviewed separately.

Legal authority

  • Utah Code §§ 16-10a-1422 and 16-10a-1423 (current through September 30, 2026)

Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
