2. APPLICATION REQUIREMENTS
Section 351.488 requires the application to state the name and effective dissolution date, that each dissolution ground did not exist or has been eliminated, and that the name satisfies § 351.110. It must include a Department of Revenue certificate covering corporate taxes and liabilities determined by the Division of Employment Security, either paid or addressed through the required payment plans.

If failure to file an annual registration report was due to qualifying military service, the Secretary of State may waive the subsection 1 requirements, fee, penalties, and charges described by § 351.488(4), but annual registration-report fees remain due.
