Ohio Comprehensive Bill of Sale Pack

OHIO COMPREHENSIVE BILL OF SALE PACK

This comprehensive Bill of Sale Pack provides templates for transferring ownership of various types of property under Ohio law. Select the appropriate form based on the property being transferred.

IMPORTANT: Ohio vehicle and watercraft titling is administered at the county level through the County Clerk of Courts Title Office (not the BMV). Requirements and fees may vary by county. The Ohio Bureau of Motor Vehicles (BMV) handles registration and licensing; the Clerk of Courts handles titling. Verify current requirements with your county Clerk of Courts.

NOTARIZATION REQUIRED: Ohio requires notarized signatures on title assignments for motor vehicles. Both Seller and Buyer signatures on the title assignment must be notarized. Use of BMV Form 3770 also requires notarization of both parties.

To disclaim the implied warranty of fitness for a particular purpose, the disclaimer must be in writing and conspicuous. An "as-is" or "with all faults" disclaimer is effective to exclude all implied warranties under Ohio law, provided the language is conspicuous and the buyer has had an opportunity to inspect the goods. Ohio courts have upheld conspicuous "as-is" disclaimers in private party sales.

Federal law (49 U.S.C. § 32703) and Ohio law prohibit the disconnection, resetting, or alteration of a motor vehicle odometer with intent to change the number of miles indicated. Violation is a federal crime and also actionable under Ohio's Consumer Sales Practices Act (ORC § 1345.02).

Ohio Sales Tax Information:

Ohio imposes a state sales tax of 5.75% on the purchase price of motor vehicles. In addition, counties may levy permissive sales taxes of up to 2.25%, bringing the combined rate to as high as 8.00% depending on the county in which the vehicle is titled.

Estimated Tax Calculation:

Component Rate Amount
State Sales Tax 5.75% $[________________________________]
County Permissive Tax [____]% $[________________________________]
Total Estimated Tax [____]% $[________________________________]

Tax Note: Sales tax on vehicle purchases is collected by the county Clerk of Courts Title Office at the time of title transfer — not at the point of sale. The tax is based on the purchase price stated on the title assignment or Bill of Sale. Gift transfers and certain family transfers may qualify for a tax exemption. Contact the county Clerk of Courts or the Ohio Department of Taxation for guidance. Use Ohio's "The Finder" at thefinder.tax.ohio.gov to determine exact rates for your county.

SECTION 6: WARRANTY STATUS

Select ONE:

☐ "AS-IS" SALE — NO WARRANTY

THIS VEHICLE IS SOLD "AS-IS, WHERE-IS, WITH ALL FAULTS." THE SELLER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE PURSUANT TO ORC § 1302.29.

BUYER ACKNOWLEDGES HAVING THE OPPORTUNITY TO INSPECT THE VEHICLE OR HAVE IT INSPECTED BY A MECHANIC OF BUYER'S CHOICE PRIOR TO PURCHASE. BUYER ACCEPTS THE VEHICLE IN ITS PRESENT CONDITION AND ASSUMES ALL RISK OF DEFECTS, WHETHER KNOWN OR UNKNOWN.

OHIO LEMON LAW NOTICE (ORC §§ 1345.71 through 1345.77):

Ohio's Lemon Law applies ONLY to NEW motor vehicles purchased or leased primarily for personal, family, or household purposes. The defect must occur within 12 months or 18,000 miles from the date of delivery (whichever comes first) and must substantially impair the vehicle's use, value, or safety. The manufacturer must have had a reasonable number of repair attempts. This law does NOT apply to used vehicles sold in private-party transactions. Vehicles purchased as used do not qualify, even if the defect appears soon after purchase.

If a lemon law buyback vehicle is being resold, the manufacturer must provide the same express warranty provided to the original consumer, with the term being the greater of 12,000 miles or 12 months after the date of resale, or the remaining term of the manufacturer's original warranty.

SECTION 7: LIEN AND ENCUMBRANCE DISCLOSURE

Check one:

FREE AND CLEAR: Seller certifies that the vehicle is free and clear of all liens, security interests, and encumbrances. Seller holds clear title.

ELECTRONIC TITLE WITH NO LIEN: The title is held electronically by the Ohio BMV. There is no lien. Seller will use BMV Form 3770 to assign ownership.

EXISTING LIEN: The following lien(s) exist on this vehicle:

Lienholder Information:

Name: [________________________________]

Address: [________________________________]

City: [________________________________] State: [____] ZIP: [____]

Account Number: [________________________________]

Payoff Amount: $[________________________________] (as of [__/__/____])

Daily Per Diem: $[________________________________]

Lien Satisfaction:

☐ Seller will obtain lien release prior to delivery

☐ Seller will pay off lien from sale proceeds at closing; lien release to follow within [____] business days

☐ Buyer is assuming the existing lien as part of this transaction

☐ Title is being held by lienholder; lienholder will release title directly to county Clerk of Courts upon payoff

Ohio E-Title Note: Ohio uses an electronic titling system. When a lien exists, the title is typically held electronically. Once the lien is satisfied, the lienholder must electronically release the lien, after which the owner may obtain a physical title or the title remains in electronic form. Buyers should confirm lien satisfaction before completing the purchase. BMV Form 3770 can be used when the title is electronic and no physical title has been issued.

SECTION 8: SELLER REPRESENTATIONS

Seller represents and warrants:

☐ Seller is the registered and titled owner of the vehicle and has full authority to sell and transfer title.

☐ The Certificate of Title is genuine and has not been altered, tampered with, or forged.

☐ All statements made herein regarding the vehicle's condition, history, and mileage are true and accurate to the best of Seller's knowledge.

☐ Seller will properly assign the Certificate of Title to Buyer as required by ORC § 4505.06 and have the assignment notarized.

☐ Seller will disclose all liens and encumbrances on the vehicle.

☐ Seller will provide Buyer with all keys, remotes, manuals, and accessories in Seller's possession.

☐ The vehicle has not been subject to an undisclosed recall, or recalls are disclosed as follows: [________________________________]

☐ If this vehicle is a lemon law buyback, Seller has disclosed this fact and the title has been appropriately branded.

SECTION 9: OHIO TITLE TRANSFER REQUIREMENTS

SELLER'S OBLIGATIONS:

Per Ohio law, Seller must:

  1. ☐ Properly assign the Certificate of Title to Buyer by completing the assignment on the back of the physical title, OR complete BMV Form 3770 if the title is electronic (per ORC § 4505.032)

  2. ☐ Have the assignment signature(s) NOTARIZED — Ohio requires notarization of all title assignment signatures

  3. ☐ Deliver the assigned title (or completed BMV Form 3770) to Buyer at time of sale

  4. ☐ Provide accurate odometer disclosure on the title or on a separate federal odometer disclosure statement

  5. ☐ Remove license plates from the vehicle — Ohio plates stay with the Seller, not the vehicle

  6. ☐ Cancel insurance on the vehicle after removing plates

  7. ☐ Provide Buyer with a completed Bill of Sale documenting the purchase price

BUYER'S OBLIGATIONS:

Per Ohio law, Buyer must:

  1. ☐ Apply for a new title at the county Clerk of Courts Title Office within 30 days of purchase (late fees apply after 30 days)

  3. ☐ Pay the title fee ($15.00 base fee; some counties charge up to $23.00 with permissive fees)

  5. ☐ Obtain new license plates or transfer existing plates at a BMV Deputy Registrar office

  6. ☐ If the vehicle is registered in an E-Check county, obtain a passing emissions test (if applicable)

  7. ☐ Have the Buyer's signature on the title assignment NOTARIZED

BMV Form 3770 Usage (Electronic Title Casual Sale):

Per ORC § 4505.032, BMV Form 3770 may be used ONLY when:

  • The title is held electronically (no physical title has been issued)
  • The sale is between private parties (casual sale)
  • The seller is transferring to an Ohio resident
  • Both Seller and Buyer complete their respective pages of the form
  • Both signatures are notarized
  • The form CANNOT be used by dealerships or insurance companies

Required Documents for Title Transfer at County Clerk of Courts:

  • Properly assigned Certificate of Title with notarized signatures, OR completed and notarized BMV Form 3770
  • Bill of Sale showing the purchase price
  • Valid Photo Identification for Buyer
  • Proof of Ohio auto insurance

About This Template

A contract is a written record of what two or more parties agreed to and what happens if someone does not follow through. Clear language, defined terms, and clean signature blocks keep disputes small and enforceable. The most common mistakes in contracts come from vague promises, missing details about timing or payment, and skipping standard protective clauses like governing law and dispute resolution.

Important Notice

This template is provided for informational purposes. It is not legal advice. We recommend having an attorney review any legal document before signing, especially for high-value or complex matters.
