ARTICLE I: DEFINITIONS

For the purposes of this Bill of Sale, the following terms shall have the meanings set forth below:

1.1 "Seller" means the individual or entity identified in Article II, Section 2.1, who is transferring ownership of the Property to the Buyer.

1.2 "Buyer" means the individual or entity identified in Article II, Section 2.2, who is acquiring ownership of the Property from the Seller.

1.3 "Property" means the motor vehicle, watercraft, general personal property, or other item(s) described in Article IV of this Bill of Sale.

1.4 "Purchase Price" means the total consideration paid or to be paid by the Buyer to the Seller for the Property, as set forth in Article V.

1.5 "Closing Date" means the date on which the transfer of ownership is completed and possession of the Property is delivered to the Buyer: [__/__/____].

1.6 "Title" means the New Hampshire Certificate of Title issued by the NH Division of Motor Vehicles pursuant to RSA 261:3, or comparable document establishing ownership.

1.8 "As-Is Condition" means the Property is sold without any express or implied warranties of any kind, as permitted under RSA 382-A:2-316 (UCC Article 2).

1.9 "Lien" means any mortgage, security interest, pledge, encumbrance, or other claim against the Property.

1.10 "Town Clerk" means the clerk of the municipality in which the Buyer resides, who processes motor vehicle registrations and permits pursuant to RSA 261:148.

ARTICLE III: SALE AND TRANSFER OF OWNERSHIP

3.1 The Seller hereby sells, transfers, assigns, and conveys to the Buyer, and the Buyer hereby purchases and accepts from the Seller, all right, title, and interest in and to the Property described in Article IV of this Bill of Sale.

3.2 This transfer is made in exchange for the Purchase Price set forth in Article V and is effective as of the Closing Date specified in Article I.

3.3 The Seller warrants that they have the full legal right and authority to sell and transfer the Property, and that such transfer does not violate any agreement, order, or law to which the Seller is bound.

ARTICLE VII: TITLE AND OWNERSHIP WARRANTIES

7.1 The Seller warrants and represents that:

(a) The Seller is the lawful owner of the Property and has good and marketable title to the Property;

(b) The Seller has the full legal right, power, and authority to sell and transfer the Property;

(c) The Property is free and clear of all liens, encumbrances, security interests, claims, and restrictions, except as disclosed in Article VIII;

(d) The Property has not been stolen and is not the subject of any pending legal action, seizure, or forfeiture proceeding;

(e) The Seller has not previously transferred, assigned, or conveyed any interest in the Property to any other person or entity;

(f) For motor vehicles: the title has not been branded as "salvage," "rebuilt," "flood," "junk," or any other designation unless specifically disclosed in Section 6.2 above.

7.2 The Seller shall execute and deliver all documents necessary to effectuate the transfer of title, including but not limited to the properly assigned NH Certificate of Title (for title-required vehicles), NH Form TDMV 19A (Bill of Sale), and NH Form TDMV 12 (Odometer Disclosure Statement) as applicable.

ARTICLE IX: VEHICLE-SPECIFIC PROVISIONS — NEW HAMPSHIRE

This Article applies to motor vehicle, trailer, OHRV, snowmobile, and watercraft transactions.

Section 9.1 — NH Title Transfer Process

For Title-Required Vehicles (Model Year 2000 or newer, per RSA 261:3):

(a) The Seller shall provide the Buyer with a properly assigned Certificate of Title, signed by the Seller on the assignment section of the title, including the Buyer's name and address.

(b) The Buyer shall apply for a new Certificate of Title through the NH Division of Motor Vehicles. As of January 1, 2026, the title application fee is $35.00 and the title fee is $37.00.

(c) The Buyer must present the following to the local town clerk or DMV:

  • Properly assigned Certificate of Title from the Seller
  • This Bill of Sale (or NH Form TDMV 19A)
  • Completed Title Application
  • Odometer Disclosure Statement (Form TDMV 12), if applicable
  • Proof of identity (valid driver's license or state-issued ID)
  • Proof of New Hampshire residency
  • Payment for applicable fees

For Title-Exempt Vehicles (Model Year 1999 or older, mobile homes, trailers under 3,001 lbs.):

(a) The Seller shall provide a properly executed Bill of Sale along with either a current or expired NH Certificate of Registration or a valid NH or out-of-state Certificate of Title.

(b) Notarization of the Bill of Sale is strongly recommended for title-exempt vehicles to establish clear proof of ownership transfer.

Section 9.2 — Town Clerk Registration Process

(a) New Hampshire motor vehicle registration is a two-part process:

  • Part 1: The Buyer must visit the town or city clerk in the municipality where the Buyer resides to begin the registration process and pay the municipal motor vehicle permit fee.
  • Part 2: The state transaction portion of the registration, which may be completed at the same town clerk's office if the clerk is a Municipal Agent of the State, or at a DMV office.

(b) At the town clerk's office, the Buyer will pay:

  • A motor vehicle permit fee based on the vehicle's original manufacturer's suggested retail price (MSRP) and age
  • A state registration fee based on the weight of the vehicle
  • A title fee (for title-required vehicles): $37.00 as of January 1, 2026
  • Additional municipal agent fees, if applicable

(c) The Buyer will receive license plates and a registration certificate upon completion of the registration process.

Section 9.3 — No Sales Tax

New Hampshire does not impose a state sales tax on motor vehicle purchases, watercraft purchases, or any other personal property transactions. No sales tax, use tax, or excise tax is due in connection with this transaction. This applies to both new and used vehicle purchases, and to both private-party and dealer sales.

However, the Buyer should be aware that:

  • Certain New Hampshire municipalities assess a local property tax on motor vehicles or include vehicles in their annual tax assessments.
  • If the Buyer is a resident of another state, the Buyer may owe sales or use tax in their home state upon registering the vehicle there.

Section 9.4 — Vehicle Safety and Inspection

NOTICE REGARDING NH VEHICLE INSPECTION PROGRAM: New Hampshire's mandatory annual vehicle inspection program under RSA 266:1 has been subject to legislative changes. The inspection program was suspended following the enactment of legislation in 2025. Vehicle owners remain responsible under current law to ensure that any vehicle driven in New Hampshire is safe to operate, regardless of the status of the inspection program. Buyers should verify the current status of the inspection program with the NH DMV or the NH Department of Justice.

ARTICLE X: INDEMNIFICATION

10.1 The Seller shall indemnify, defend, and hold harmless the Buyer from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

(a) Any breach of the Seller's representations, warranties, or obligations under this Bill of Sale;

(b) Any undisclosed liens, encumbrances, or claims against the Property;

(c) Any claims by third parties asserting ownership of or any interest in the Property;

(d) Any inaccuracy in the odometer disclosure or other representations made by the Seller;

(e) Any liability arising from the Seller's ownership, use, or operation of the Property prior to the Closing Date.

10.2 The Buyer shall indemnify, defend, and hold harmless the Seller from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

(a) The Buyer's ownership, use, or operation of the Property after the Closing Date;

(b) The Buyer's failure to register the Property or transfer the title in a timely manner;

(c) Any liability arising from the Buyer's use of the Property after the Closing Date.


ARTICLE XI: DISPUTE RESOLUTION

Section 11.1 — Governing Law

This Bill of Sale shall be governed by and construed in accordance with the laws of the State of New Hampshire, including the Uniform Commercial Code as adopted in New Hampshire (RSA 382-A), without regard to its conflict of law provisions.

Section 11.2 — Informal Resolution

The parties agree to attempt to resolve any dispute arising under or in connection with this Bill of Sale through good-faith negotiation for a period of not less than thirty (30) days before initiating formal proceedings.

Section 11.3 — Mediation

If informal resolution is unsuccessful, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in the State of New Hampshire before commencing litigation. The cost of mediation shall be shared equally by the parties unless otherwise agreed.

Section 11.4 — Jurisdiction and Venue

Any legal action or proceeding arising under this Bill of Sale shall be brought exclusively in the courts of the State of New Hampshire, in the county where the Seller resides or where the transaction took place, or in the United States District Court for the District of New Hampshire. The parties consent to personal jurisdiction in said courts.

Section 11.5 — Statute of Limitations

Pursuant to RSA 382-A:2-725, any action for breach of a contract for the sale of goods must be commenced within four (4) years after the cause of action accrues.

Section 11.6 — Attorneys' Fees

In any legal action or proceeding arising out of or relating to this Bill of Sale, the prevailing party shall be entitled to recover reasonable attorneys' fees and court costs from the non-prevailing party.


ARTICLE XII: GENERAL PROVISIONS

12.1 Entire Agreement. This Bill of Sale, together with any attached exhibits, addenda, or riders, constitutes the entire agreement between the parties with respect to the sale and transfer of the Property and supersedes all prior negotiations, representations, warranties, commitments, offers, contracts, and communications, whether oral or written, between the parties.

12.2 Amendments. This Bill of Sale may not be modified, amended, or supplemented except by a written instrument signed by both parties.

12.3 Severability. If any provision of this Bill of Sale is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such holding shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

12.4 Waiver. The failure of either party to enforce any provision of this Bill of Sale shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future.

12.5 Binding Effect. This Bill of Sale shall be binding upon and shall inure to the benefit of the parties hereto and their respective heirs, executors, administrators, legal representatives, successors, and assigns.

12.6 Counterparts. This Bill of Sale may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

12.7 Notices. All notices required or permitted under this Bill of Sale shall be in writing and shall be deemed delivered when personally delivered, or three (3) business days after being sent by certified mail, return receipt requested, to the addresses set forth in Article II.

12.8 Assignment. The Buyer may not assign this Bill of Sale or any rights hereunder without the prior written consent of the Seller, except that the Buyer may assign this Bill of Sale to a trust or entity controlled by the Buyer.

12.9 Survival. The representations, warranties, and indemnification obligations set forth in this Bill of Sale shall survive the Closing Date and delivery of the Property.

12.10 Headings. The section headings in this Bill of Sale are for convenience only and shall not affect the interpretation of any provision.

12.11 Construction. This Bill of Sale shall not be construed more strictly against one party than the other merely by virtue of the fact that it may have been drafted by one of the parties or their counsel.


ARTICLE XIII: NEW HAMPSHIRE-SPECIFIC PROVISIONS

Section 13.1 — No Sales Tax Confirmation

The parties acknowledge and confirm that New Hampshire does not impose a sales tax on the purchase of motor vehicles, watercraft, or other personal property. No portion of the Purchase Price includes or is attributable to any state or local sales tax. If the Buyer resides outside New Hampshire, the Buyer is solely responsible for any sales or use tax obligations imposed by their state of residence.

Section 13.2 — Motor Vehicle Permit Fee

The Buyer acknowledges that, while no sales tax is imposed, the Buyer will be required to pay a municipal motor vehicle permit fee to the town or city clerk at the time of registration. Section 13.3 — New Hampshire Lemon Law (RSA 357-D)

The parties acknowledge the following regarding New Hampshire's Lemon Law:

(a) RSA 357-D applies only to new motor vehicles that are still under the manufacturer's original warranty.

(b) The law requires that any motor vehicle sold in New Hampshire conform to the applicable manufacturer's warranty, and that manufacturers promptly correct defects covered by the warranty.

(c) A vehicle may qualify for Lemon Law relief if: (i) it has been out of service for repair of one or more nonconformities for a cumulative total of 30 or more business days during the term of the express warranty; or (ii) the manufacturer or its agents have made three (3) or more repair attempts for the same defect.

(d) The New Motor Vehicle Arbitration Board administers Lemon Law claims. Contact: NH DMV, (603) 227-4385.

(e) If this is a used vehicle sale, RSA 357-D does not apply unless the vehicle is still under the manufacturer's original warranty, in which case low-mileage used vehicles may, under certain circumstances, qualify for relief.
