MICHIGAN COMPREHENSIVE BILL OF SALE PACK

This comprehensive Bill of Sale Pack provides templates for transferring ownership of various types of property under Michigan law. Select the appropriate form based on the property being transferred.

IMPORTANT: Michigan vehicle and watercraft registration and titling is administered by the Michigan Secretary of State (SOS). Title transfers must be completed within 15 days of purchase. A $15 late fee is assessed if the title transfer is not completed within 15 days. Michigan does NOT require vehicle safety inspections or emissions testing for private-party vehicle sales.

STATE NOTICE: Michigan does NOT require notarization of bills of sale for any property type — vehicles, watercraft, or personal property. However, notarization is recommended for high-value transactions.

An "as-is" or "with all faults" disclaimer is effective to exclude all implied warranties, provided the buyer has had a reasonable opportunity to inspect the goods. PART TWO: MOTOR VEHICLE BILL OF SALE

STATE OF MICHIGAN
COUNTY OF [________________________________]

MOTOR VEHICLE BILL OF SALE

This document supplements the official Michigan title assignment. For vehicle sales, Michigan primarily uses title assignment rather than a separate bill of sale. However, this document provides comprehensive documentation of the transaction terms. If the vehicle title is unavailable, Form TR-52 (Certification of Vehicle Purchase Price) may be used in conjunction with this Bill of Sale.

CRITICAL NOTICE:

THE BUYER MUST SUBMIT THE PROPERLY ASSIGNED TITLE TO THE MICHIGAN SECRETARY OF STATE WITHIN 15 DAYS OF THE DATE OF SALE. A $15 LATE FEE WILL BE ASSESSED IF THE TITLE IS NOT TRANSFERRED WITHIN 15 DAYS (MCL § 257.233).

MICHIGAN DOES NOT REQUIRE VEHICLE SAFETY INSPECTIONS OR EMISSIONS TESTING FOR PRIVATE-PARTY VEHICLE SALES.

☐ "AS-IS" SALE — NO WARRANTY (Private Party Sale)

BUYER ACKNOWLEDGES HAVING HAD THE OPPORTUNITY TO INSPECT THE VEHICLE OR HAVE IT INSPECTED BY A MECHANIC OF BUYER'S CHOICE PRIOR TO PURCHASE. BUYER ACCEPTS THE VEHICLE IN ITS PRESENT CONDITION AND ASSUMES ALL RISK OF DEFECTS, WHETHER KNOWN OR UNKNOWN, LATENT OR PATENT.

MICHIGAN LEMON LAW NOTICE (MCL §§ 257.1401–257.1410):

Michigan's New Motor Vehicle Warranties Act (commonly known as the Michigan Lemon Law) applies ONLY to NEW motor vehicles purchased or leased in Michigan for personal, family, or household use. Key provisions include:

  • Coverage Period: The manufacturer's express warranty period or one year from delivery, whichever comes first.
  • Qualifying Defect: A defect or condition that substantially impairs the use, value, or safety of the vehicle and is not caused by abuse, neglect, or unauthorized modification.
  • Repair Attempts Required: The manufacturer or dealer must be given a reasonable number of attempts to repair the nonconformity (generally, four or more repair attempts for the same defect, or the vehicle is out of service for 30 or more business days).
  • Remedies: If the defect cannot be repaired, the consumer may be entitled to a replacement vehicle or a full refund (less a reasonable use allowance based on mileage).
  • Important: The Michigan Lemon Law does NOT apply to used vehicles, private-party sales, or vehicles purchased primarily for business purposes.

USED VEHICLE NOTE: Michigan does NOT have a separate used vehicle warranty law for private-party sales. Used vehicles sold in private transactions are typically sold "as-is" unless the parties agree otherwise. Dealer sales of used vehicles may be covered by the Michigan Consumer Protection Act (MCL § 445.901 et seq.) and federal FTC Used Car Rule requirements.

Michigan Note: When a lien exists on a Michigan title, the lienholder's name appears on the face of the title. The lienholder must sign the title to release the lien, or provide a separate lien release document. The Michigan Secretary of State will not transfer a title with an unresolved lien. Buyers should verify that any existing liens have been satisfied before completing the purchase.

SECTION 8: SELLER REPRESENTATIONS AND COVENANTS

Seller represents and warrants:

☐ Seller is the registered owner of the vehicle as shown on the Michigan Certificate of Title and has full authority to sell and transfer title.

☐ The Certificate of Title is genuine and has not been altered, tampered with, or forged.

☐ All statements made herein regarding the vehicle's condition, history, and mileage are true and accurate to the best of Seller's knowledge.

☐ Seller will properly assign the Certificate of Title to Buyer as required by MCL § 257.235, including accurate odometer reading, sale date, and purchase price.

☐ Seller has disclosed all known material defects affecting the use, value, or safety of the vehicle.

☐ Seller has disclosed all liens and encumbrances on the vehicle.

☐ Seller will provide Buyer with all keys, remotes, manuals, and accessories in Seller's possession.

☐ The vehicle has not been the subject of an insurance total-loss claim, except as disclosed in Section 4.

☐ The vehicle is not currently subject to any open theft report or law enforcement hold.

☐ Seller will maintain a record of this sale for not less than 18 months as required by MCL § 257.240, including a photocopy of the assigned title or a document containing the Buyer's name, address, driver's license number, signature, the purchase price, and the date of sale.

SECTION 9: MICHIGAN SECRETARY OF STATE REQUIREMENTS AND PROCEDURES

SELLER'S OBLIGATIONS:

Per Michigan law (MCL §§ 257.233-257.240), Seller must:

  1. ☐ Properly assign the Certificate of Title to Buyer by completing the assignment section on the back of the title, including:
    - Printed name of Buyer
    - Date of sale
    - Purchase price
    - Odometer reading
    - Seller's signature
    - Seller's printed name and address

  2. ☐ Deliver the properly assigned title to Buyer at the time of sale

  3. ☐ Transfer or remove license plates (Michigan plates may be transferred to another vehicle owned by the Seller or surrendered to the SOS)

  4. ☐ Cancel insurance coverage on the vehicle (after plates are removed or transferred)

  5. ☐ Maintain a record of the sale for at least 18 months (MCL § 257.240), including either a photocopy of the assigned title OR a document with Buyer's name, address, driver's license number, signature, purchase price, and date of sale

  6. ☐ Provide Buyer with a Bill of Sale or documentation of the transaction

BUYER'S OBLIGATIONS:

Per Michigan law (MCL § 257.233), Buyer must:

  1. ☐ Submit the properly assigned title to the Michigan Secretary of State within 15 days of the date of sale (a $15 late fee will be assessed if not completed within 15 days)

  2. ☐ Pay the 6% use tax on the purchase price at the time of title transfer

  3. ☐ Pay the $15 title fee

  4. ☐ Obtain Michigan license plates or transfer existing plates

  5. ☐ Obtain Michigan auto insurance before operating the vehicle on public roads

  6. ☐ Complete the Vehicle Certification of Purchase Price (Form TR-52) if the title does not include the purchase price or if additional documentation is needed

IMPORTANT — 3-DAY TEMPORARY DRIVING PRIVILEGE:

Michigan law allows a buyer to drive a newly purchased vehicle without a plate for up to 3 days from the date of sale, provided the buyer is driving the vehicle directly to the first place of storage (usually the buyer's home). During this 3-day period, the buyer MUST carry the properly assigned title and proof of insurance in the vehicle.

NO INSPECTION REQUIRED:

Unlike many other states, Michigan does NOT require a vehicle safety inspection or emissions test for private-party vehicle sales. The only exception is salvage vehicles, which must pass a Michigan State Police salvage vehicle inspection before a rebuilt title can be issued.

Required Documents for Title Transfer at the Secretary of State:

☐ Properly assigned Certificate of Title from Seller

☐ Valid Photo Identification (Michigan driver's license or State ID)

☐ Proof of Michigan Auto Insurance

☐ Payment for title fee ($15), registration fee, and 6% use tax

☐ Certification of Vehicle Purchase Price (Form TR-52) if applicable

☐ Bill of Sale (this document or equivalent) — recommended but not always required

☐ Lien Release (if applicable)

SECTION 10: MICHIGAN — NO INSPECTION REQUIRED

MICHIGAN DOES NOT REQUIRE VEHICLE INSPECTIONS:

Michigan is one of the states that does NOT mandate vehicle safety inspections or emissions testing for registered vehicles. There is no annual inspection, no emissions test, and no inspection requirement at the time of sale or registration for standard vehicles.

Salvage Vehicle Exception:

The ONLY inspection requirement in Michigan applies to salvage vehicles being rebuilt. Before a rebuilt title can be issued for a previously salvaged vehicle, the vehicle must pass a Michigan State Police salvage vehicle inspection. This inspection verifies:

☐ VIN integrity and proper placement
☐ Parts are not stolen
☐ Vehicle is roadworthy
☐ All required safety equipment is present and functional

Buyer's Responsibility:

Although Michigan does not require inspections, buyers are strongly encouraged to:

☐ Have the vehicle independently inspected by a qualified mechanic before purchase

☐ Obtain a vehicle history report (Carfax, AutoCheck, or NMVTIS)

☐ Verify the VIN matches the title and the vehicle

☐ Test drive the vehicle before completing the transaction

☐ Check for open recalls at NHTSA.gov

WARNING: The absence of a mandatory inspection requirement means that Buyers bear full responsibility for verifying the mechanical condition and safety of the vehicle. Seller's "as-is" disclaimer, if selected, places all risk of mechanical defects on the Buyer. A pre-purchase inspection by a qualified mechanic is strongly recommended.

MICHIGAN-SPECIFIC CONSIDERATIONS

Rust and Corrosion:
Michigan's use of road salt during winter months can cause significant rust and corrosion to vehicles. Buyers should carefully inspect the undercarriage, wheel wells, rocker panels, and frame of any vehicle being purchased in Michigan. Sellers should disclose known rust or corrosion issues.

Great Lakes Watercraft:
Vessels operated on the Great Lakes are subject to additional federal U.S. Coast Guard requirements, including:

  • Visual distress signals (required on all vessels on the Great Lakes)
  • Additional safety equipment based on vessel size
  • Navigation light requirements for nighttime operation
  • VHF radio (recommended but not always required)

Michigan No-Fault Auto Insurance:
Michigan's unique no-fault auto insurance system (MCL § 500.3101 et seq.) requires all registered vehicles to carry Personal Injury Protection (PIP), Property Protection Insurance (PPI), and Residual Bodily Injury and Property Damage Liability insurance. Buyers must obtain Michigan no-fault insurance before operating the vehicle.

About This Template

A contract is a written record of what two or more parties agreed to and what happens if someone does not follow through. Clear language, defined terms, and clean signature blocks keep disputes small and enforceable. The most common mistakes in contracts come from vague promises, missing details about timing or payment, and skipping standard protective clauses like governing law and dispute resolution.

Important Notice

This template is provided for informational purposes. It is not legal advice. We recommend having an attorney review any legal document before signing, especially for high-value or complex matters.
