1. PARTIES

2. JURISDICTION AND VENUE

2.1 Subject-Matter Jurisdiction. This Court has subject-matter jurisdiction under Okla. Const. art. VII, § 7 and 12 O.S. § 2001 et seq., because the amount in controversy exceeds $10,000 exclusive of interest and costs.

2.2 Personal Jurisdiction. Defendant transacted business, contracted to supply services or things, and committed the acts complained of in Oklahoma, thereby submitting to personal jurisdiction pursuant to 12 O.S. § 2004(F)(1).

2.3 Venue. Venue is proper in this County under 12 O.S. § 141 because [choose: (a) Defendant resides/does business here; (b) the contract was executed and/or to be performed here; (c) the injury occurred here].


3. BACKGROUND & GENERAL ALLEGATIONS

3.1 On or about [date], Plaintiff and Defendant entered into a written contract titled “[title]” (the “Contract”), attached hereto as Exhibit 1.

3.2 Under the Contract, Plaintiff agreed to [summarize performance] in exchange for Defendant’s agreement to [summarize performance/payment].

4. CAUSE OF ACTION — BREACH OF CONTRACT

4.2 Existence of Contract. The Contract is a valid, enforceable agreement supported by mutual consideration.

4.3 Plaintiff’s Performance. Plaintiff has performed all conditions precedent or such conditions have been waived or excused.

4.4 Defendant’s Breach. Defendant materially breached the Contract by [specific acts/omissions].
