2. PRELIMINARY ALLEGATIONS
2.1 Jurisdiction & Venue
- This Court has subject-matter jurisdiction over this action under Missouri law because it is a civil action asserting a contract claim and the amount in controversy exceeds the jurisdictional minimum.

2.2 Parties
