1. PARTIES

2. JURISDICTION AND VENUE

2.1 This Court has subject-matter jurisdiction pursuant to Wyo. Const. art. 5, § 10 and applicable Wyoming statutes because the amount in controversy exceeds the jurisdictional minimum of the District Court and involves a claim sounding in contract arising within the State of Wyoming.

2.2 Personal jurisdiction over Defendant is proper because Defendant transacts substantial business in Wyoming and the claims asserted herein arise out of Defendant’s activities within this State.

3. FACTUAL ALLEGATIONS

4. CAUSE OF ACTION – BREACH OF CONTRACT

4.1 Plaintiff realleges and incorporates paragraphs 1.1 through 3.6 as though fully set forth herein.

4.2 Existence of Contract. A valid and enforceable Contract existed between Plaintiff and Defendant.

4.3 Plaintiff’s Performance. Plaintiff has performed all obligations required of it under the Contract, or such performance has been excused.

4.4 Defendant’s Breach. Defendant materially breached the Contract by [describe breach].

4.5 Damages. Plaintiff has been damaged in an amount to be determined at trial, including but not limited to:
(a) Unpaid Contract Price in the amount of $[amount];
(b) Incidental and consequential damages, including lost profits, in an amount presently estimated at $[amount];
(c) Pre- and post-judgment interest as allowed by law; and

5. CONDITIONS PRECEDENT

5.1 All conditions precedent to Plaintiff’s right to bring this action have occurred, been performed, or been waived.


6. DAMAGES

6.1 Plaintiff seeks the following categories of damages, subject to proof at trial:
(a) Compensatory damages in excess of $[amount];
(b) Pre-judgment interest at the statutory rate from the date of breach;
(c) Post-judgment interest; and
(d) Attorney fees and costs as provided in the Contract and/or Wyo. Stat. § 1-14-126.
