RHODE ISLAND CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET

Twenty-year domestic-corporation route. Section 7-1.2-1312 permits the Secretary of State to withdraw a domestic corporation's certificate of revocation and retroactively reinstate it within twenty years after the certificate was issued.

2. CURE AND REINSTATEMENT GATE

For the statutory reinstatement route, the corporation files the documents previously omitted under § 7-1.2-1310(a)(3)-(6), pays the required penalty for every year or part of a year since revocation, and files a Division of Taxation certificate of good standing.

☐ Revocation was based on a curable filing, fee, tax, agent, office, amendment, or merger-document ground covered by § 7-1.2-1310(a)(3)-(6).

☐ Every missing annual report and other required filing has been completed.

☐ Tax returns, tax balances, interest, penalties, and the current tax-good-standing request have been addressed.

☐ If the former name is no longer distinguishable, the reinstatement packet includes a compliant name change.

☐ Any post-revocation conveyance is excluded from the statutory revesting analysis.

☐ Licenses, insurance, contracts, litigation, banking, tax accounts, and foreign qualifications reviewed separately.

Legal authority

  • R.I. Gen. Laws §§ 7-1.2-1310 through 7-1.2-1312

Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
