Corporation Reinstatement, Revival, and Revivor Packet
NEBRASKA CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET
Two timing tracks. Section 21-2,195 provides ordinary reinstatement within five years after administrative dissolution and a separate late-reinstatement route after more than five years.
1. STATUS AND ROUTE RECORD
| Item | Verified information |

☐ Selected route: ☐ Ordinary reinstatement ☐ Late reinstatement.
2. ORDINARY AND LATE APPLICATIONS
Both routes require the corporation's name, effective dissolution date, a statement that the grounds did not exist or have been eliminated, and confirmation that the name satisfies § 21-230.
A late application must also state the legitimate reason for reinstatement and that reinstatement does not constitute fraud on the public, and must include the fee set by § 21-205.
☐ Timing route and current name confirmed.
☐ Every dissolution ground has been cured and documented.
☐ Legitimate reason and no-public-fraud statement completed if late.
3. ACCEPTANCE AND FILING INVENTORY
For either route, the Secretary of State must determine the application is correct, all delinquent fees are paid, and a properly executed and signed biennial report has been delivered.
| Requirement | Evidence / amount | Completed |
|---|---|---|
| Reinstatement application | [Document] | [__/__/____] |
| Biennial report | [Document] | [__/__/____] |
| Delinquent and route-specific fees | $[________________________________] | [__/__/____] |
| Certificate of reinstatement | [Document] | [__/__/____] |
4. EFFECT AND POST-FILING REVIEW
When effective, reinstatement relates back to the administrative-dissolution date and the corporation resumes business as if dissolution had never occurred.
☐ Official status, name, agent, and next biennial-report date rechecked.
☐ Taxes, licenses, insurance, banking, contracts, claims, property, and foreign qualifications reviewed separately.

About This Template
Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
