2. NORTH CAROLINA ROUTE
Classify the status before filing. A corporation administratively dissolved under § 55-14-21 may apply under § 55-14-22 by stating its name, dissolution date, and that the grounds did not exist or have been eliminated. If the name is no longer distinguishable under § 55D-21, change it before reinstatement can be accepted.
A voluntary dissolution has a different and short route: § 55-14-04 permits revocation only within 120 days after the effective dissolution date and requires authorization and articles of revocation. Do not use an administrative-reinstatement filing to reverse a voluntary dissolution.
