2. STATUTORY APPLICATION GATE
Section 35-14-1422 requires an application within five years stating the corporation's name and effective dissolution date, that each dissolution ground did not exist or has been eliminated, and that the name satisfies § 35-14-401.
The corporation must submit a Department of Revenue certificate that all Title 15 taxes have been paid, the filing fee, and every unfiled annual report with related fees and penalties.

4. EFFECT OF REINSTATEMENT
When effective, reinstatement relates back to the administrative-dissolution date, and the corporation resumes business as if the dissolution had never occurred.
