4. EFFECT OF REINSTATEMENT
When effective, reinstatement relates back to the administrative-dissolution date. Liability incurred by the corporation, a director, an officer, or a shareholder during the dissolution period is determined as if dissolution had never occurred, and the corporation may resume business on that basis.
Do not use relation back as a substitute for separate review of taxes, licenses, insurance, contracts, litigation deadlines, property transfers, bank authority, or foreign qualifications.
