Secretary-controlled scope. A qualifying corporation may apply at any time after administrative dissolution, but the Secretary may impose terms, fees, purposes, or time limits. Do not assume every reinstatement is unlimited or fully retroactive.
Scope gate. Use for a domestic business corporation administratively dissolved under chapter 156D, § 14.21. Excludes voluntary or judicial dissolution, foreign revocation, nonprofit or professional corporations, merger, conversion, insolvency, and disputed-control matters.

3. CERTIFICATE-SCOPE REVIEW
The Secretary may make reinstatement effective for all purposes or specified purposes, with or without a time limit, and may impose terms and conditions. The filed certificate or equivalent public record constitutes an amendment to the articles of organization.

4. EFFECT REVIEW
If reinstatement is effective for all purposes, or the Secretary expressly makes the statutory effect sentence applicable, it relates back to dissolution; the corporation resumes business with original powers and duties; qualifying prior acts are ratified; and the corporation bears liability as if dissolution had not occurred, except as the Secretary specifies.
Do not state relation back unless the accepted certificate supports it.
