LOUISIANA CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET
Terminated-corporation route. A corporation may seek reinstatement no later than five years after its articles or certificate of termination became effective, unless it was dissolved by a judgment of dissolution.
Scope gate. Use for a domestic business corporation terminated administratively or after an eligible dissolution. Excludes judicial dissolution, foreign corporations, merger, conversion, insolvency, and disputed-control matters.

2. APPROVAL ROUTE
For administrative termination under R.S. 12:1-1442, articles may be approved by a director or officer listed in the last annual report before termination or by a director elected by shareholders after that report.
If dissolution or termination was shareholder-authorized, reinstatement requires the same vote that approved dissolution or termination, cast by the persons who were shareholders at that time. Those voters elect a board, and the elected board elects officers.

3. ARTICLES, ANNUAL REPORT, AND AGENT CONSENT
The corporation delivers articles of reinstatement and an annual report. Both are signed by an eligible officer or director. The annual report includes written consent to appointment signed by the registered agent.
The articles state the corporate name, the applicable statutory approval route, and that reinstatement is retroactive as if termination never occurred. Under the shareholder route, they also state that directors and officers were elected as required.

The Secretary of State may file only within five years and after payment of an annual-report filing fee for each year from the last report through the reinstatement year.

4. RETROACTIVE EFFECT
When the Secretary of State files the certificate or articles, corporate existence is reinstated retroactively and continues as if termination had never occurred.
