KENTUCKY CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET

Any-time route with a winding-up bar. A qualifying administratively dissolved entity may apply at any time, but an entity that has taken the action necessary to wind up and liquidate its affairs and notify claimants is prohibited from reinstatement.

Scope gate. Use for a domestic business corporation administratively dissolved under KRS 14A.7-020 or predecessor law. Excludes voluntary or judicial dissolution, foreign revocation, merger, conversion, insolvency, and disputed-control matters.

2. SECTION 14A.7-030 REQUIREMENTS

The application recites the name and dissolution effective date; states that the grounds did not exist or were eliminated; states that the name satisfies KRS 14A.3-010; includes a Department of Revenue paid-tax certificate; represents that the entity did not take steps to wind up, liquidate, and notify claimants; and, for a business corporation, includes an Office of Unemployment Insurance certificate covering employer contributions, interest, penalties, and service-capacity-upgrade-fund assessments.
