ILLINOIS CORPORATION REINSTATEMENT, REVIVAL, AND REVIVOR PACKET

Scope gate. Use for a domestic profit corporation only. Excludes nonprofit, professional, regulated, insolvent, disputed-control, judicially dissolved, merged, converted, and foreign corporations unless counsel supplies the correct route.

1. STATUS RECORD

Attach the official entity record, every status notice, filing history, tax or fee correspondence, articles, amendments, bylaws, stock ledger, and current officer/director record.

2. ILLINOIS ROUTE

Use Form BCA 12.45/13.60 only after confirming a domestic administrative dissolution under Section 12.40. A voluntary dissolution uses the separate revocation route and Form BCA 12.25; a foreign corporation uses the foreign portion of the reinstatement form.

Section 12.45 requires the reinstatement application, every delinquent annual and final transition annual report, all franchise taxes, and all fees, penalties, and charges due. The application identifies the name at dissolution, any required new name, the dissolution date, and the current registered office and agent.

3. CURE AND FILING INVENTORY

☐ Form, fee, portal, processing instruction, and delivery address rechecked on filing day.

☐ Acceptance confirmed from the official record rather than inferred from payment or submission.

4. EFFECT AND INACTIVE-PERIOD REVIEW

Upon filing, corporate existence is deemed to have continued without interruption; covered corporate acts are ratified and confirmed, and the statute addresses officer, director, and shareholder liability during the dissolution interval. Do not extend that text to licenses, fraud, acts that would otherwise be invalid, or disputes outside Section 12.45.

5. POST-ACCEPTANCE WORK
