No temporary restraining order, preliminary or permanent injunction, or other order issued by any court of competent jurisdiction (including any Arizona Superior Court or the United States District Court for the District of Arizona), and no statute, rule, regulation, or executive order promulgated or enacted by any governmental authority, is in effect that prevents or prohibits the consummation of the transactions contemplated by the Agreement.
