Requirements one by one
Initial regulations and amendment
Ohio uses “regulations” for the corporation's governing rules. Section 1702.10 gives the incorporators a meeting route before voting members meet and a voting-member fallback after 90 days. Section 1702.11(B) permits the articles or regulations to set their own amendment method; otherwise voting members act at a meeting held for that purpose with a quorum and majority of those present.
Director bylaws
Section 1702.30(A) separately lets directors adopt bylaws “for their own government.” Those bylaws must be consistent with the articles and regulations. The director-bylaw power is narrower than the member regulation-amendment route.
Notice and records
Section 1702.18 makes a special meeting's purposes part of the notice. If regulations change without a voting-member meeting, § 1702.11(E) directs the secretary to send the change to voting members who could have voted but did not participate. Under § 1702.15, corporate records include account books and minutes, and members and directors can inspect books and records for a reasonable and proper purpose at a reasonable time.
What trips people up
The word “bylaws” in § 1702.30(A) refers to rules the directors adopt for their own government; it does not replace the corporation-wide “regulations” in §§ 1702.10-.11. Section 1702.18's enacted notice phrase says “not less than ten or not more than sixty days”; confirm the actual meeting notice against the current statute and governing documents rather than assuming a conventional 10-to-60-day range.
Common questions
Can incorporators wait indefinitely before adopting regulations? Section 1702.10 gives voting members a meeting route if the incorporators have not adopted regulations within 90 days after incorporation.
Can members delegate an emergency-rule power? Yes. Section 1702.11(C) lets members adopt emergency regulations or authorize directors to adopt them before or during the defined emergency; those regulations operate only during it.
