Records and location

18 O.S. § 2021(A) says an LLC keeps its records at the principal place of business unless a written operating agreement provides otherwise. It requires both a current and a past member-manager list and records showing relative voting rights. The three-year tax and financial category has a fallback: if returns or statements were not prepared, the company keeps information supplied, or that should have been supplied, to members so they could prepare their returns. Current and superseded written operating agreements belong in the retained records.

Member inspection and information

Under § 2021(B), the member's purpose must reasonably relate to the member's interest. Inspection and copying of an LLC record require a reasonable request during ordinary business hours. The separate information route calls for a reasonable demand and covers true and complete business and financial-condition information, state and local tax returns promptly after they become available, and other company-affairs information that is just and reasonable. A formal accounting is available when circumstances make it just and reasonable.

Managers and former members

§ 2021(C) gives a manager an inspection and copying right for a purpose reasonably related to the manager's position; the manager need not rely on a member's interest. Section 2021 contains no express former-member inspection route. § 2012.2(D) instead sends obligations to an assignee or dissociated member to the operating agreement; it does not itself describe a records-demand procedure.

What trips people up

The two member routes use different words. A reasonable request starts inspection of existing records, at the member's expense. A reasonable demand is how the member obtains the broader business information under § 2021(B)(2). Neither phrase supplies a fixed number of days for a response. The express promptness rule applies to the state and local income tax returns once available.

Common questions

Can an operating agreement change the record list? Yes, § 2021(A) makes its retention list subject to a written operating agreement. Section 2012.2(A) also says the agreement may not vary rights and duties that the Act specifically imposes; the effect of a particular clause needs its own analysis.

Does the LLC have to pay for copies? Section 2021(B)(1) places a member's inspection and copying expense on the member. It does not specify a per-page price or a separate labor-and-material ceiling.
