Ohio Rev. Code § 1706.33(A) allows a member, on reasonable notice to the LLC, to inspect and copy during regular business hours at a reasonable location the company specifies. The record must be material to the member’s rights and duties under the agreement or Chapter 1706. The LLC may charge reasonable copying labor and material costs (§ 1706.33(B)).

Representatives and confidentiality

Section 1706.33(C) expressly mentions both a member and a dissociated member exercising rights through an agent, or a legal representative if the individual is under legal disability. It does not set out a separate former-member demand procedure. The rights do not extend to an assignee who is not admitted as a member (§ 1706.33(D)).

The LLC may impose reasonable access and use conditions, including nondisclosure and safeguarding. It may also withhold trade secrets and other information that meets the specific company-interest, legal-duty or third-party-agreement grounds in § 1706.33(E)(2). Under § 1706.08(A), the operating agreement governs member relations and Chapter 1706 fills gaps.
