When may a shareholder of an ordinary domestic private business corporation demand appraisal after a merger, share exchange, asset disposition, conversion, domestication, or charter amendment, and what ownership, voting, notice, demand, deposit, payment, objection, petition, withdrawal, and cost rules govern?
What this survey covers
Appraisal is a sequence, not a single objection. This survey first identifies the corporate actions and shares for which the statute makes the remedy available, then follows the statutory route through ownership, notice, voting, demand, post-effective forms or deposits, corporation payment, supplemental demand, withdrawal, and any court proceeding.
The table keeps that procedure separate from disputed entitlement facts, valuation, transaction fairness, fiduciary or disclosure claims, securities and tax law, and litigation strategy.
Why the state architecture matters
California defines dissenting shares through four cumulative conditions. The current statute requires qualifying shares, a prescribed voting posture, a demand under Section 1301, and submission for endorsement under Section 1302; it defines the dissenting shareholder as the record holder. Cal. Corp. Code § 1300(b)-(c) (accessed September 5, 2026).
The District of Columbia lists merger, share-exchange, qualifying asset- disposition, fractional-share amendment, domestication, and conversion routes, then separately limits several routes for covered securities, organized-market shares, and redeemable investment-company shares. D.C. Code § 29-311.02(a)-(b) (accessed September 5, 2026).
Delaware combines standing and preservation at the outset: a stockholder must hold when making the demand, hold continuously through effectiveness, comply with the demand procedure, and neither vote for nor consent to the transaction. Its meeting route says a proxy or vote against the transaction is not the required separate written demand. 8 Del. C. § 262(a),(d)(1) (accessed September 5, 2026).
Wyoming uses a staged post-effective form. The notice must go no later than 10 days after effectiveness and set a corporation-receipt deadline no fewer than 40 and no more than 60 days after the notice and form are sent; the shareholder must return the signed form and deposit certificated shares as directed. Wyo. Stat. §§ 17-16-1322 to -1323 (accessed September 5, 2026).
