Requirements one by one
Transactions, market limits, and owners
Section 1091 covers stock in specified mergers, consolidations, conversions, and share acquisitions. The certificate may add appraisal for an amendment, merger or consolidation, all-or-substantially-all asset sale, or Section 1090.5 conversion. 18 O.S. § 1091(B)-(C).
Listed shares and stock held by more than 2,000 record holders are generally excluded at the specified record time. Nonqualifying consideration can restore rights, as can the non-wholly-owned subsidiary route. Even when listed shares qualify, the court dismisses unless the demand exceeds 1% of eligible shares, the transaction consideration for those shares exceeds $1 million, or the specified subsidiary-merger exception applies. 18 O.S. § 1091(B), (G).
A record shareholder must own at demand, hold continuously through effectiveness, comply with the demand route, and neither vote for nor consent to the action. A beneficial owner may demand directly but must continuously own, identify the record holder, supply documentary proof with a true-copy statement, and give a notice address. 18 O.S. § 1091(A), (D)(3).
Notice and demand
For a meeting, notice arrives at least 20 days before the vote and supplies the statute or a free public electronic resource. The written demand arrives before the vote and reasonably identifies the holder and appraisal intent. A proxy or negative vote is not the separate demand. Effective notice follows within 10 days. 18 O.S. § 1091(D)(1).
The consent, offer, and subsidiary routes permit notice before effectiveness or within 10 days afterward. Demand is generally due within 20 days after mailing; an offer-based merger uses the later event stated in the statute. If the first notice omits the effective date, a second notice must supply it. Designated electronic transmission is available for the demand. 18 O.S. § 1091(D)(2).
Withdrawal, petition, and court
Either the surviving, resulting, or converted entity or an eligible person may petition in district court within 120 days after effectiveness. A person who has not filed or joined as a named party may withdraw within 60 days after effectiveness. Once a court case is involved, dismissal requires court approval and may carry conditions. 18 O.S. § 1091(E), (K).
After service of an owner-filed petition, the entity has 20 days to file the verified list of unresolved demanders. The court decides compliance and value; it may require certificates deposited with the clerk for notation and dismiss a person who disobeys. Section 1091 states no county venue, special discovery, appraiser, or jury provision. 18 O.S. § 1091(F)-(G).
The court may equitably tax costs. On an eligible participant's application, it may charge shareholder expenses, including attorney and expert fees, pro rata against the value of the appraisal shares. 18 O.S. § 1091(J).
What trips people up
A negative vote is not an appraisal demand. The demand must be a separate writing that reasonably identifies the shareholder and appraisal intent, and the meeting route requires it before the vote. 18 O.S. § 1091(D)(1).
There is no prepetition corporation estimate-and-supplemental-demand sequence. Either side may file the appraisal petition within the 120-day window. The entity may pay cash before judgment, which narrows the balance on which later interest accrues. 18 O.S. § 1091(E), (H).
From effectiveness, a demander loses voting and post-record-date distribution rights for the demanded shares. Those consequences end if no timely petition is filed or the demand is properly withdrawn. 18 O.S. § 1091(K).
Common questions
Can a beneficial owner file without the record holder?
Yes, if the owner follows the direct-demand route: continuous ownership, record-holder identification, documentary proof and true-copy statement, and a notice address are required. 18 O.S. § 1091(D)(3).
Must certificated shares be deposited before the petition?
Section 1091 does not prescribe a prepetition certificate deposit. After filing, the court may require certificates submitted to the clerk for notation and may dismiss a noncompliant person. 18 O.S. § 1091(G).
How is interest set?
Unless the court finds good cause to depart, interest runs from effectiveness, is compounded quarterly, and is five percentage points above the changing Federal Reserve discount rate, including any surcharge. 18 O.S. § 1091(H).
