1. PARTIES

2. DEFINITIONS
"Applicable Law" - Includes the Official Code of Georgia Annotated and the Georgia Fair Business Practices Act (O.C.G.A. Section 10-1-390 et seq.).
"Trade Secret" - As defined under the Georgia Trade Secrets Act (O.C.G.A. Section 10-1-760 et seq.).

Forum: State and federal courts in Fulton County, Georgia
Late Payments: 7% per annum (or up to 5% per month if agreed in writing) per O.C.G.A. Section 7-4-2 and 7-4-18
Attorneys' Fees: Pursuant to O.C.G.A. Section 13-6-11
Electronic Signatures: Valid pursuant to the Georgia Uniform Electronic Transactions Act (O.C.G.A. Section 10-12-1 et seq.).
Non-Compete: Governed by O.C.G.A. Section 13-8-50 et seq.
