IMPORTANT NOTES

REA vs. CDA Claim

An REA is a request for negotiated settlement, while a CDA claim requests a Contracting Officer's final decision. Key differences include:

Factor REA CDA Claim
Interest Not recoverable Recoverable from date of claim
Preparation Costs Recoverable Not recoverable
Attorneys' Fees Generally not recoverable May be recoverable at appeal
Timeline No statutory deadline for response 60-day decision deadline
Appeal Rights None until converted to claim Appeal to BCA or COFC

Timing Considerations

  • There is no statute of limitations for submitting an REA
  • REAs should be submitted as soon as practicable after the change
  • Contractor may convert REA to CDA claim at any time
  • CDA claims must be submitted within 6 years of accrual

Cost Recovery for REA Preparation

Under FAR 31.205-33, costs of preparing and negotiating an REA may be allowable as a contract administration cost, unlike CDA claim preparation costs which are generally unallowable.

About This Template

Government contracting is its own body of law, with federal acquisition regulations and state procurement rules that override standard commercial contract practices. Bid protests, proposals, and compliance submissions have tight deadlines measured in days, not months. The paperwork has to be exact, because a misfiled bid or a missed page limit can disqualify a contractor from a multi-million dollar opportunity.

Important Notice

This template is provided for informational purposes. It is not legal advice. We recommend having an attorney review any legal document before signing, especially for high-value or complex matters.
